Job Description
The Manager, Corporate Governance will support Versant's corporate governance, Board of Directors, legal entity management, public-company compliance, and shareholder-meeting activities. This role offers the opportunity to work closely with senior legal and business leaders and the Board of Directors while helping shape the governance operations of a newly formed public media company.
The successful candidate is highly organized, exceptionally detail-oriented, collaborative, and comfortable managing a substantial volume of time-sensitive work across multiple priorities.
Essential Responsibilities
Board and Corporate Governance
• Support the Corporate Secretary and Corporate Affairs team on Board of Directors, committees, and general corporate governance matters, while helping promote consistent, efficient, and well-organized governance practices.
• Coordinate Board and committee meeting logistics, calendars, agendas, materials, approvals, and follow-up actions.
• Prepare, circulate, and maintain Board and committee materials, minutes, written consents, resolutions, secretary's certificates, incumbency certificates, and related governance records.
• Coordinate annual director and officer questionnaires and Board evaluations; analyze responses and support related disclosure and governance processes.
• Assist with director appointments, elections, annual consents, dividend approvals, share repurchases, officer appointments, and other corporate actions.
• Support the planning and execution of the annual meeting of shareholders, including proxy-related materials and beneficial ownership tables.
Legal Entity Management and Corporate Transactions
• Maintain the accuracy and completeness of the company-wide entity management system, minute books, organizational documents, and subsidiary records; identify opportunities to improve related processes, systems, and documentation workflows, including through the use of AI.
• Serve as a primary contact for internal requests for entity-related documentation and general corporate support.
• Coordinate with outside counsel and third-party corporate service providers, including CT Corp and CSC, on corporate governance, corporate secretarial, entity management, registered agent, and related corporate matters.
• Research historical entity information and respond to inquiries from internal stakeholders, including Tax, Treasury, Finance, and other business functions.
• Support M&A transactions, financings, reorganizations, and other corporate projects by organizing entity data, coordinating approvals, and preparing or delivering organizational documents, certificates, and related materials, including onboarding newly acquired entities into Versant's entity management systems and corporate records framework.
Public Company Compliance
• Assist with preparation, review, and filing of reports and materials with the SEC and Nasdaq, including Forms 3, 4, and 5.
• Maintain compliance with the SEC's EDGAR filer-management requirements, including the administration and safeguarding of EDGAR access codes, filing credentials, powers of attorney, and related corporate records.
• Support insider trading and related party compliance processes and related administration.
• Help identify practical opportunities to enhance the accuracy, efficiency, and scalability of public-company compliance workflows through technology and appropriate AI-enabled tools.
Qualifications
• Bachelor's degree required.
• At least six (6) years of experience managing corporate governance and legal entity matters within the in-house legal department of a public company.
• Demonstrated experience supporting Boards of Directors, senior management, and public-company governance processes.
• Proficiency with SEC, corporate governance, entity management, disclosure, and business productivity systems and tools, including EDGAR Filer Management, Diligent Board, Diligent Entity Management, Workiva, Outlook, Word, and Asana.
• Exceptional attention to detail and a demonstrated ability to produce accurate, polished work in a fast-paced environment.
• Strong organizational and project-management skills, with the ability to manage a large volume of work, multiple competing priorities, and time-sensitive deadlines.
• Collaborative, responsive, and relationship-oriented, with the ability to work effectively across Legal, Finance, Tax, Treasury, Corporate Development, and other internal teams, as well as with external advisors.
• Excellent written and verbal communication skills.
• Independent, resourceful self-starter with sound judgment, a strong work ethic, and the ability to follow through on complex projects.
• Demonstrated interest in continuous process improvement, technology adoption, and practical AI-enabled workflow enhancements.

$90,000 - $120,000 /year USD
