Reporting to the Vice President of Legal Affairs, the Counsel, Legal Affairs performs and executes the legal processes necessary to effect the rights, privileges and obligations of the Company's Filmed Entertainment Division (the Film Group), with key responsibilities being primarily in the negotiating and drafting of agreements involving the financing, production and distribution of IMAX® original-produced films. Responsibilities also include the negotiation and drafting of agreements for the conversion, release and distribution of IMAX commercial films, provisioning of legal counsel regarding marketing and promotional activities and the licensing of IMAX-owned or co-owned content.
Key Responsibilities:
• Provide general advice and counsel to Film Group concerning legal rights and obligations related to the Company's film production, post-production, distribution and licensing functions
• Draft and negotiate complex deals and agreements involving the development, financing and production of IMAX produced/co-produced films, including talent, co-financing, co-production, general vendor and rights acquisition agreements and licenses
• Perform due diligence and review and approve chain-of-title documents
• Provide legal advice regarding applicable guild obligations and insurance issues
• Draft and negotiate agreements dealing with the conversion, release and distribution of IMAX commercial films, with particular focus on international territories
• Provide legal advice related to the advertising, marketing and promotions functions of the business, including the review of creative materials, the negotiation and drafting of co-promotion agreements and the review and drafting of sweepstakes/contest rules and regulations, with working knowledge of regulatory requirements and social media
• Work closely with the post-production division of Company in connection with business and legal issues connected with the operations of that division
• Revise form agreements and standard terms and conditions
• Assist in the implementation of online legal database system(s)
Qualification and Skill Requirements:
• J.D. degree, strong academic credentials and membership in good standing of the California State Bar
• 4+ years of overall entertainment law experience, with at least 2-3 years experience dealing directly with film production, with particular focus on guild obligations and marketing
• Extensive, in-depth knowledge of contract, commercial and other relevant law
• Excellent interpersonal skills with ability to collaborate with peers, colleagues, clients and outside counsel. Must be polished and poised in communicating with executives, high-profile and other external clients and contacts
• Willingness to work long hours with maximum availability
• Excellent organizational skills with proven ability to prioritize, handle multiple tasks and meet multiple deadlines
• Ability to work autonomously with minimal supervision in a fast-paced, rapidly changing, dynamic environment; responsive; driven
• Impeccable verbal and written communication skills, with ability to communicate clearly and effectively throughout all levels of the organization
• Strong ability to manage risk and provide practical, results-oriented legal advice; strategic, analytical thinker and creative problem solver
• Flexible and willing to take on new tasks in new or unfamiliar areas of the law
• Proficient computer skills
