The Vice President, Global Compliance is responsible for promoting a strong culture of ethics and compliance. Conduct internal compliance investigations, develop and implement 3rd party due diligence procedures, vet and monitor issues concerning 3rd parties, advise on compliance related business risks and provide counsel on M&A compliance risks.
Responsibilities
• Lead all aspects of compliance-related internal investigations coordinating with Internal Audit, outside counsel, Human Resources, Legal and others. Build investigation plans, conduct interviews, document findings and recommend remediation efforts.
• Develop and improve company’s 3rd party due diligence procedures focusing on anti-bribery and corruption, conflicts of interest, anti-money laundering and export controls/sanctions.
• Advise on issues related to film investment, theme park development, international licensing and distribution and the retention of representatives and agents from international markets.
• Ensure business units are trained on identifying “red flags” and conduct appropriate, risk-based due diligence on 3rd parties.
• Evaluate and retain vendors.
• Build a training and tracking approach to ensure adherence to company’s standards in partnership with VP, Global Compliance (Training, Policy and Communications).
• Provide compliance-related counsel to various groups including M&A transactions for domestic and international transactions.
• Propose action plans to ensure compliance efforts are current with the evolving regulatory environment.
Basic Qualifications
• 7-10 years in ethics and compliance or related function. Experience in compliance work in multiple positions including governmental agency, corporate compliance program and/or a law firm preferred.
• J.D. from a school accredited by the American Bar Association and license to practice in NY.
• Experience conducting investigations of varying complexity with investigative teams comprised of audit, accounting, IT, forensics etc.
• Experience conducting compliance due diligence on representatives, agents, consultants or other 3rd parties in international markets.
• In-depth understanding of ethics/compliance program requirements and standard methodologies, including risk assessment, policy and procedure development, due diligence, training, communications, monitoring and testing activities.
• Background in anti-corruption, anti-money laundering, sanctions/export controls and knowledge of UK Criminal Finances Act.
Additional Qualifications
• Experience conducting investigations of varying complexity with investigative teams comprised of audit, accounting, IT, forensics etc.
• Experience conducting compliance due diligence on representatives, agents, consultants or other 3rd parties in international markets.
• In-depth understanding of ethics/compliance program requirements and standard methodologies, including risk assessment, policy and procedure development, due diligence, training, communications, monitoring and testing activities.
• Background in anti-corruption, anti-money laundering, sanctions/export controls and knowledge of UK Criminal Finances Act.
• Ability to spot compliance issues and work with constituents to identify creative solutions.
• Strong project management, organizational skills, attention to detail and work ethic.
• Results-oriented with ability to balance multiple assignments at a time in a fast-paced environment to achieve desired results on projects of varied complexity working with staff at all levels.
• Analytical and independent problem solver acting with integrity.
• Excellent written and verbal communication skills.
• Able to travel domestically and internationally (up to 40% travel)
