Overview and Responsibilities
The Viacom Corporate Development Group is responsible for sourcing, evaluating, and executing the company’s strategic acquisitions, investments and joint ventures. The Manager will work closely with Corporate Development Group members, business unit counterparts and senior management throughout the organization, and act as a Viacom representative with external parties such as transaction targets and target advisors
Responsibilities:
M&A Assessment & Execution: (85%)
• Collaborate with senior management across business units and outside advisors to identify and assess potential M&A opportunities that support and accelerate our strategic priorities, including acquisitions, joint ventures or minority investments
• Assist with and on occasion manage transaction execution, including:
• developing valuation analyses
• coordinating due diligence efforts with internal and external counterparties
• coordinating information flow across cross-functional deal team
• facilitating internal approval process
• assisting with deal negotiations
• Build financial and operating models and develop various financial analyses including discounted cash flow, returns analysis, merger analysis, comparable company analysis, precedent transaction analyses and general financial statement analysis
Corporate strategy projects & other responsibilities: (15%)
• Track current deal flow pipeline across the ViacomCBS organization
• Monitor M&A activity and public valuations in the industry
• Gather and synthesize relevant information around strategic issues facing ViacomCBS and the media industry
• Work with senior management and business units to develop analysis supporting new strategic partnerships
Basic Qualifications
• Minimum of two years work experience in M&A / Corporate Development, including roles in corporate development, investment banking, venture capital, and/or private equity
• Experience and interest in media and/or technology strongly preferred
• BA / BS undergraduate degree required
Additional Qualifications
• Deep financial modeling expertise, valuation experience, and knowledge of accounting and corporate finance principals
• Strong analytical and problem solving skills
• Excellent research skills and ability to organize, synthesize and present information
• Ability to clearly communicate and present to senior executives
• Ability to work efficiently and on multiple projects at once
• Strong interpersonal skills with the solid ability to persuade others, build consensus and work in a team
