Overview and Responsibilities
The Counsel will be responsible for drafting, implementing and interpreting agreements relating to music rights and music-related initiatives; overseeing research and reporting processes.
• Together with VP, Music Strategy & Programming, responsible for structuring, negotiating and drafting agreements relating to acquisition, licensing, distribution and/or exploitation of music-related content on traditional and digital platforms and products, across all VMN businesses, domestically and internationally, and for implementation and interpretation of such agreements across all VMN businesses.
• Draft label waivers, contract summaries and usage guidelines and maintain related departmental databases relating thereto.
• Counsel senior Music & Media Licensing team and client groups on variety of complex matters relating to music rights.
• Create regular internal reports reflecting numerous data points necessary to assess business needs and develop deal structures.
• Together VP, Music Strategy & Programming, liaise with VMN client groups to assess business needs and develop business models and deal structures.
Basic Qualifications
• J.D.
• Minimum of 4 years of relevant experience at a law firm or entertainment, media or technology company.
• Member of New York Bar Association.
• Extensive and in-depth knowledge of contract, licensing/intellectual property and general corporate law.
• Experience in the recording, music publishing, digital and/or new technology products industries preferred.
Additional Qualifications
• Must be able to read, analyze and interpret complex documents and legislation.
• Must be able to draft complex agreements.
• Must be articulate, able to make public presentations and lead meetings.
• Must be able to think on feet, solve problems quickly, negotiate with consistent rationales, make analogies and draw on past knowledge.
• Ability to draft contracts and other documents with minimal supervision.
• Ability to function with moderate to minimal supervision.
• Sharp analytical skills.
• Fluency in Excel and PowerPoint desired.
