Coordinator, Corporate Law - Viacom

This is a Full Time Job

Our Corporate Law department is looking for a new team member. As the Coordinator, you will provide a range of legal support to Corporate Transactions and other corporate legal teams.

Responsibilities

• You will manage documents, prepare drafts of corporate documentation, including board resolutions, incorporations, dissolutions, name changes, qualifications, withdrawals and state merger documents in various jurisdictions
• You will prepare officer’s and secretary’s certificates
• Manage and maintain delegation of authority process (signing authority for officers and business executives)
• You will assist the corporate transactions and joint venture management teams with due diligence reviews (including preparing summaries of various corporate records and documents)
• You will prepare correspondence
• You will build and update quarterly subsidiary ownership reports and information for all domestic and international subsidiaries distributed to internal departments or external companies and serve as point person for inquiries from auditors
• You will work with domestic tax compliance group to review Federal tax return list of affiliated companies to include in the annual return
• Create and maintain shared portals for use within the legal group
• Coordinate departmental and external meetings
• Liaise with registered agent for matters relating to corporate registrations and conduct annual audit of subsidiaries’ registrations
• You will maintain corporate filings and registrations and file annual reports in all jurisdictions
• Prepare and circulate for signature resolutions of subsidiaries in connection with annual and special meetings and transactions for domestic subsidiaries
• Update and maintain current and historical corporate information for all domestic and international subsidiaries in Blueprint OneWorld or equivalent database
• Assist paralegals and other members of the legal department

Responsibilities
will include other general legal department assignments.

Basic Qualifications

• Undergraduate degree
• 3 years legal assistant experience, preferably with a major corporate law firm or with an in-house corporate law department of the size and activity level of Viacom.
• Computer proficiency; extensive experience with Word; Excel, Acrobat Writer and Blueprint OneWorld (Administration and General User versions)

• Paralegal Certificate preferred
• Ability to learn new software applications quickly
• Experience drafting corporate documentation
• Familiarity with general corporate contracts
