We are seeking a Vice President, Business & Legal Affairs, Distribution and Business Development (DBD). In this role, you will provide business and legal affairs support to the Content Distribution division in connection with distribution of video content, including the Viacom Media Networks (VMN) and BET Networks programming services. The DBD group is responsible for delivering over $4 Billion in annual revenue to Viacom.
Responsibilities
to include, but not limited to:
• Structure, draft and negotiate a variety of agreements relating to the distribution of a broad portfolio of basic cable programming services and related content offerings, with emphasis on agreements for distribution on traditional linear cable, broadband and mobile platforms.
• Draft distribution agreements, intellectual property licenses, confidentiality agreements, service agreements and promotional agreements for all media platforms (e.g., cable television, wireless, broadband, IPTV, telco).
• Advise and counsel Content Distribution sales, strategy, finance and marketing groups on a variety of complex business, legal and regulatory matters arising from distribution of the VMN and BET Networks programming services and ancillary content across traditional and new media platforms.
• Understand and critically evaluate complex affiliate agreements and other documents and effectively distill information for clients. Independently manage sophisticated transactions from inception through conclusion. Supervise professional staff and outside counsel as necessary.
Basic Qualifications
• JD required
• 7 years experience of relevant in-house or law firm experience desired
• New York State Bar membership and/or qualified to register as NY In-House Counsel is required
Additional Qualifications
• Extensive and in-depth knowledge of contract and general corporate law is required. Knowledge of intellectual property, entertainment, technology, privacy and internet law are strongly preferred.
• Knowledge of industry deals and practices is preferred. Knowledge of communications law, technology law and FCC regulation is desirable. Direct experience in the cable television and digital media industries under tight timeframes in a fast-paced environment is desirable.
• Excellent interpersonal skills, including the ability to communicate clearly and effectively with internal client groups and externally with executives and other attorneys within the organization are key.
• Willingness to seek matters outside of areas of expertise
