WHAT IS THE ROLE
Responsible for drafting, negotiating and advising on contractual and other legal issues connected with a range of areas relating to the businesses of MTV UK, MTV International and C5, including advertising, sponsorship, production, events, technology, distribution, marketing and social responsibility.
WHAT SKILLS DO YOU NEED
Drafting, negotiating and advising on the following areas in relation to the business of MTV and Channel 5. This encompasses support to both the UK and International business:
Live Events
• Partnerships deals with cities / public bodies
• Event production agreements.
• Ticketing agreement and general advice
• Venue Hire
• General service agreements
Marketing
• Commercial marketing partnership agreements
• Cross-media promotions
• Competitions
Content Production
• Commissioning contracts for development, pilot, long-form series, idents, promos
• In-house production work (including presenter agreements, location hire agreements, contributor releases, fair dealing advice)
• Co-Production / Programme Finance agreements
• Contractual arrangements for talent contributions (including recording artist performances), including liaising with managers, bookers and record labels
• Contract management (rights information, format queries, revenue share queries)
• Cast management/issues
Advertising and Sponsorship
• Supporting all areas of sale
• Media sales deals, including sponsorships and events
• Advising on pitches, risk and solutions relating to media sales deals
• Production, services and events agreements for the creation of various deliverables and services to deliver media sales deals (spots, digital ad units, billboards, promos and microsites)
• Drafting terms and conditions for consumer competitions
Technology
• Playout deals
• General IT services agreements
• Software licences
• Software development
• Support and maintenance agreements
Content Distribution
• Carriage/distribution agreements (linear and non-linear)
• Commercial partnership deal (e.g. Apps)
Digital Media
• Service agreements
• Partnership agreement
• Content commissions/production
Corporate
• Manage corporate secretarial matters, including drafting and filing of board resolutions and liaising with external counsel where required
Social Responsibility
• Content commissions, event staging, service agreements and general advice for the MTV Staying Alive Foundation
Other
• Licensing-in third party data/research materials
• Intellectual property rights issues, including managing trade mark and IP infringement matters
• Data protection and privacy issues
• Non-disclosure agreements
• Dealing with disputes and debt claims
• Liaising with, and supporting all other UK-based BALA teams on commercial matters and department-wide issues
• Liaising with International BALA and other departments including Risk Management
• Creating, developing and updating precedents and processes to drive efficiency
ROLE-SPECIFIC SKILLS / ATTRIBUTES
