This is a Full Time Job
The Counsel, Corporate Transactions will be an integral part of the Corporate Transactions team and will advise Viacom and its subsidiaries on (i) mergers, acquisitions, dispositions, joint ventures and equity investments, (ii) general commercial agreements, (iii) corporate governance and (iv) other corporate and financial matters.
Responsibilities:
• Drafting, reviewing and negotiating stock and asset purchase agreements, merger agreements, partnership/LLC/shareholder agreements, transition services agreements and other documentation in connection with mergers, acquisitions, dispositions, joint ventures and equity investments
• Working closely with the company’s business development team to coordinate and implement all aspects of mergers & acquisitions/joint venture/equity investment transactions, including preparation of preliminary proposals and letters of intent, engagement letters for external advisors, due diligence reviews, negotiation of transaction documents, and preparation for closing
• Performing legal research and advising on a broad range of business and legal affairs issues and best practices
• Coordinating closely with internal business development, tax, accounting, employee benefits, intellectual property and other specialist groups on transactional matters
• Managing outside legal advisors on transactional and related regulatory matters
Basic Qualifications
• JD from an accredited law school
• New York State Bar membership in good standing or willingness and qualifications to become Registered In-House Counsel in New York State promptly
• Minimum of 5 years experience, preferably with a major law firm, including 2 years of mid-level experience in an active mergers and acquisitions practice managing sophisticated transactional matters
Additional Qualifications
• Fluid understanding of transactional structures and related issues
• Good working knowledge of mergers and acquisitions case law and relevant statutory laws and regulations, general contract law and practice and general corporate rules and documentation
• Strong analytical, oral and written skills
• Ability to negotiate with third parties independently
• Self-starter who can independently handle a large volume of matters simultaneously in a demanding, fast-paced environment, while seeking supervision and guidance when necessary
• Excellent interpersonal and client relations skills, including the ability, confidence and desire to lead deal teams in a collaborative manner
• High ethical standards and trustworthiness with confidential matters
