Job Title: Paralegal
Location: Burbank, CA or New York, NY
Overview:
Disney is seeking a Paralegal to join the Office of the Corporate Secretary, overseeing corporate subsidiary governance for The Walt Disney Company’s domestic and international entities. The role involves managing entity maintenance, corporate governance, and document preparation.
Duties:
• Manage all aspects of entity maintenance, including filings for new formations, foreign qualifications, dissolutions, name changes, conversions, mergers, and DBAs.
• Oversee subsidiary governance by preparing governing documents, officer and director appointments, and annual consents.
• Assist internal teams in preparing corporate documents, including shareholder consents, resolutions, and certificates.
• Provide guidance on Delaware and California corporation requirements, processes, and standards.
• Maintain electronic corporate minute books and records, ensuring accuracy and accessibility.
• Collaborate with outside counsel and registered agents on entity management.
• Assist in developing and managing governance guidelines, policies, and procedures.
• Support department trainings and handle other corporate secretary and governance-related projects.
Qualifications:
• Bachelor’s Degree and/or paralegal certification with 7+ years of experience in corporate/subsidiary governance.
• Strong knowledge of Delaware and California corporations law.
• Experience with entity management systems (e.g., CSC, Diligent Entities).
• Proficiency in electronic recordkeeping and document management.
• Excellent written and verbal communication skills, with strong organizational abilities.
• Ability to manage high-volume workloads in a fast-paced environment.
• Collaborative, team-oriented mindset with strong interpersonal skills.
Preferred Qualifications:
• Experience in a large national law firm or in-house at a public company.
• Familiarity with managing a large volume of legal entities.
• Experience with legal billing, budgeting, and matter management software (e.g., Legal Tracker).
