Job Title: Corporate Counsel
JOB SUMMARY: The Corporate Counsel will report to the Executive Vice President/General Counsel and provide business-focused legal advice to stakeholders across the Company. The Corporate Counsel's primary focus will center on complex commercial contracts drafting and negotiation related to non-baseball events. Secondary responsibilities will center on supporting the legal department in other transactional matters related to Sponsorship, Facilities, Technology, SaaS, Real Estate and Corporate Governance. The ideal candidate will have a combination of in-house and law firm experience supporting privately held companies in the sports and entertainment industries.
ESSENTIAL FUNCTIONS OF POSITION INCLUDE, BUT ARE NOT LIMITED TO THE FOLLOWING:
• Provide legal advice to executive and senior management on a broad range of legal matters, commercial contracts, and complex transactions.
• Proven ability to identify emerging risks and trends, analyze and think strategically about complex risk issues and deliver solutions-oriented advice to mitigate or manage such risks.
• Support the Company and its subsidiaries and affiliates with respect to complex venue management and operations matters for large-scale events.
• Support the Company and its affiliates and subsidiaries with respect to complex commercial real estate matters involving retail, office, acquisitions, dispositions, development and financing.
• Assist the EVP/General Counsel in corporate governance and compliance matters, immigration matters for uniformed and non-uniformed personnel, and litigation management.
• Ability to communicate effectively and interact with executive management, senior management, and all Company employees.
• Conduct legal research as necessary, and proactively stay abreast of developments in applicable municipal, state, and federal laws. Ensure that the working practices of the Company and its subsidiaries and affiliates are compliant with applicable laws and regulations.
• Promote continual development, optimization and implementation of contracts creation and legal review processes and standards to maximize efficiency.
• Strong negotiation skills and excellent independent analytical judgment. Congenial interpersonal skills and flexible attitude. Commitment to professionalism and strong business and personal ethics.
• Work with outside counsel and other advisors as necessary.
• Excellent time management skills. Self-motivated and regularly works with minimal direction.
• Adept in managing multiple tasks with competing priorities, both simultaneously and efficiently.
• Great attention to detail. Respond well to coaching and supervision. Actively demonstrate teamwork at all times.
• Ability to work non-traditional hours.
• Other duties and responsibilities as may be assigned by the EVP/General Counsel.
PREFERRED Qualifications • BA/BS degree and JD degree from an accredited ABA institution.
• Admission to Texas bar (or ability to gain admission).
• Minimum of 4 years successful transactional experience at large law firm and/or as an in-house counsel.
• Experience in the sports and/or entertainment industries preferred.
• Experience in venue management and operations preferred.
• Advanced skills in MS Office; especially Word, Excel and PowerPoint skills.
• Skills using WorldDox, Monday.com, Ironclad and Box preferred.
