Ceremony of Roses is looking for an experienced transactional attorney with a strong background in IP rights and licensing. The Sr Director, Business and Legal Affairs position is responsible for driving a wide range of agreements that underly the day-to-day operations of Sony Music's inhouse merchandising division. Your focus will be on artist merchandising rights deals, third party distribution licenses, consultant & vendor services agreements. It will also be necessary to perform due diligence on potential transactions including trademark analysis. You will need to be entrepreneurial and thrive in start up environments, as well, you will be a critical team member coordinating across departments and establishing new organizational processes.
The Sr Director, Business & Legal Affairs position will report directly to the SVP of Global Commercial Affairs and may be based in New York or Los Angeles.
What you'll do:
• Draft and negotiate a range of artist merchandise rights and third-party distribution agreements.
• Draft NDA, vendor/service, consultant agreements.
• Conduct and manage legal due diligence for potential transactions, including trademark analysis and vendor partnerships.
• Own contract status tracking process. Coordinate and manage cross-functional teams throughout a transaction's life cycle.
• Manage and coordinate contracts with outside counsel.
• Advise on various inquiries from internal business units, including contract research and analysis.
Who you are:
• 6 years' experience at a major law firm (preferably in IP or Corporate) or in business legal affairs at a similar entertainment or merchandising company
• JD from a top law school
• Member of New York Bar in good standing
• Excellent negotiating and drafting skills
• Strong relationships across entertainment law
• Excellent analytical and communication skills (written and oral)
• Team player with an ability to work with others within group and across divisions
• Highly responsive and service-oriented attitude
• Experience independently negotiating complex business transactions
• Flexibility to assist the legal team in its activities as needs arise

The anticipated annual base salary does not include any other compensation components or other benefits that an individual may be eligible for. The actual base salary offered depends on a variety of factors, which may include as applicable, the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job.
California Pay Range
$140,000 — $200,000 USD
