Full Time Job
The Associate Director, Business and Legal Affairs is responsible for the review, negotiation and drafting of contracts for artists and all artist related matters, new labels, joint ventures, production deals, consulting deals, and new media agreements.
Responsibilities
• Review, draft and/or negotiate various agreements (initial, intermediate and final versions) including, but not limited to, recording agreements, joint ventures, label deals, artist and producer agreements for film and television soundtracks, consultancies, online promotions and settlement agreements.
• Counseling internal departments on day-to-day business and legal issues and strategy, including: marketing, A&R, corporate executives, sales teams, etc.
• Advise marketing, A&R, promotion, finance and other departments regarding contractual obligations and restrictions.
• Review artwork, videos, label copy, advertising and other promotional materials to minimize company’s legal exposure.
• Address concerns and propose solutions arising from contractual and other restrictions while balancing legal considerations with business objectives.
• Analyze and assess potential risks attendant to proposed courses of action.
• Analyze and assess validity of claims and propose method of resolution, including settlement terms or other course of action.
• Police piracy and copyright infringement by investigating incidents of piracy, drafting “cease & desist” letters, negotiating resolution of such incidents, evaluating whether further legal action is warranted, and coordinating enforcement efforts with the RIAA.
• Investigate claims, including internal interviews, review contracts and other research.
• Respond to requests for information and/or advice from other business units, including contract research and analysis.
• Obtain all necessary management approvals on key terms of agreements and settlements.
Qualifications
• Law degree and strong legal background in the areas of the law applicable to the music business (copyright, contract, trademark, etc.).
• Member of the New York Bar in good standing.
• Minimum of 2 years of legal experience in an entertainment company or related law practice.
• Minimum of 2 years of experience in drafting music related agreements.
• Financial Analysis skills a definite plus.
• Must have knowledge of Outlook, Word, Excel, PowerPoint, Internet and typical office equipment.
• General problem-solving skills, business acumen, and focus on legal details are of critical importance to succeeding in this role.
• Must have strong drafting and communication skills.
• The successful candidate must also be organized and have excellent command of language with strong writing skills, telephone skills and interpersonal skills.
• Ability to prioritize, multitask, focus, and achieve results while working under stressful and demanding situations.
• Professional, confident, positive and calm demeanor.
• Ability to be detail-oriented, remain flexible, and handle complex issues and tasks with minimal supervision is essential.
• Ability to think independently and create and develop ideas that lead to positive change/improvements.
• Ability to make sound decisions and solve a variety of problems.
• Must be able to accept changes readily, both in job responsibilities as well as in the work environment.
• The use of discretion and the maintenance of high levels of confidentiality are absolutely required.
• Must be able to travel to attend meetings as required.
