Skydance is looking for a Senior Corporate Counsel to join the Legal team supporting all divisions at Skydance. This role requires substantial experience with corporate agreements (including contract drafting) and intellectual property matters. The ideal candidate has experience with the legal aspects of corporate financing transactions; and has stellar organizational skills and attention to detail, with a demonstrated ability to manage multiple stakeholders in a fast-paced environment.
The role will require the ability to apply a commercial, common-sense approach to the work at hand, and the ability to work independently while also being collaborative in a team environment.
Responsibilities
• Negotiate and draft NDAs and other corporate-level agreements.
• Negotiate and draft a variety of vendor agreements.
• Manage legal compliance for the Company's revolving credit facility, as well as negotiate and draft all agreements related to the Company's corporate financing arrangements (including interparty/intercreditor agreements, tax credit placement and transfer agreements, equipment financing and leasing agreements, ISDAs, DACAs and other ancillary credit agreements).
• Negotiate and draft licensing agreements for the consumer products and interactive divisions.
• Track and manage the Company's intellectual property rights, including the Company's trademark portfolio.
Requirements
• Juris Doctor degree from a top-tier law school.
• Member in good standing of the California bar.
• Minimum of three (3) years of corporate law experience at a top-tier law firm.
• Exceptional negotiation and drafting skills.
• Strong project management, time management and long-term planning skills.
• Strong attention to detail and ability to multi-task in a fast-paced, dynamic environment.
• Analytical, problem-solving, interpersonal, strategic thinking and reasoning skills.
• Ability to communicate effectively and efficiently through demonstrated strong written and verbal communication skills.
• Proven ability to handle confidential information and interface with all levels of management.
• Positive attitude.
The salary range for this position in Los Angeles is $180,000 – $195,000. The salary offered may vary based on the candidate's location, qualifications, experience and relevant expertise, among other factors. The range indicated is for base salary only and does not reflect the total compensation package, including bonus, benefits, etc.
