Legal Counsel (In House)
The small legal team supports all aspects of PXO's operations across seven offices in four countries. This role is an opportunity to join a growing group in a forward-thinking company and to get experience working in a large multi-national entertainment company
Responsibilities
• Draft and negotiate contracts, such as client service agreements, vendor agreements, NDA's, and rental agreements.
• Advise on legal matters including contracts, intellectual property, and employment law
• Advise the various executives and in-house producers on contract status, legal risks and business terms of various deals.
• Participate in the creation and maintenance of the contract database, standard forms, operating procedures, and policies.
• Work alongside employees in Finance, IT, Marketing, Production, and Human Resources as an internal resource.
• Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
• Assist with protecting our intellectual property portfolio, including trademarks and copyrights.
• Assist with corporate governance and maintenance of corporate books.
• Stay up to date with legislative changes that may affect the company and the entertainment industry; identify applicable statutes, judicial decisions, and codes.
• Assist general counsel and associate general counsel with pre-litigation reviews and other projects as assigned.
Requirements
• Must be a member of the Ontario or California Bar in good standing. A second qualification in Quebec, Ontario, British Columbia, England and Wales, Germany, California, or New York would be an advantage.
• License to practice law in Ontario or California.
• 3-5 years' related experience at an entertainment law firm and/or in-house with a large production company or studio.
• Strong negotiation, drafting, and communication skills.
• Excellent knowledge of all aspects of entertainment law, including contract law, intellectual property law, and industry regulations.
• Solid understanding of how the entertainment industry works.
• Familiarity working in a publicly traded company.
• Ability to exercise excellent judgment while adhering to the highest ethical and professional standards; unquestioned discretion in maintaining confidentiality.
• Ability to handle multiple tasks in a timely manner and remain highly responsive to leadership and client inquiries
• Excellent Microsoft office skills required. Experience with Ironclad or other CLM software is an advantage.
• It is intended that the role will be hybrid, with occasional attendance at the office required.
• Role will be based in Los Angeles or Ontario. For exceptional candidates, the role may be based in London, Montreal, or Vancouver.
• Must be legally authorized to work in Canada or the United States.
