Seeking a highly motivated law student to join our Business & Legal Affairs team as a Legal Intern. This role is designed for a law student with a genuine passion for music, intellectual property, and entertainment law. You will be embedded with our in house counsel and work across the full spectrum of music IP matters: reviewing and drafting licensing agreements and recording contracts, assisting on copyright infringement settlements, chain of title diligence, and catalog administration. Preference will be given to candidates currently pursuing coursework in intellectual property, entertainment law, or music business law.
Licensing & Contract Drafting
• Draft music license agreements including synchronization licenses, master use licenses, mechanical licenses, and blanket licensing arrangements.
• Assist in the preparation and review of recording agreements, artist agreements, producer agreements, and co-publishing deals.
• Draft, review, and revise Non Disclosure Agreements (NDAs), confidentiality provisions, and work for hire agreements.
Copyright & IP Research
• Conduct comprehensive legal research on U.S. and international copyright law, music licensing frameworks, neighboring rights, termination rights under 17 U.S.C. § 203, and evolving digital rights issues.
• Research applicable case law, statutory developments, Copyright Royalty Board (CRB) rulings, and Copyright Office guidance relevant to active matters.
• Assist in monitoring legislative and regulatory developments impacting the music industry, including DSP licensing, AI-generated content, and the Music Modernization Act.
• Prepare legal memoranda, research summaries, and briefing documents for review by in house counsel.
Copyright Infringement & Enforcement
• Assist in house counsel in identifying, investigating, and documenting potential copyright infringement of catalog assets, including digital piracy, unauthorized sampling, and unlicensed synchronization.
• Support the preparation and issuance of DMCA takedown notices and counter notices.
• Help track and maintain infringement logs, enforcement correspondence, and resolution records.
• Assist in gathering and organizing evidence for potential litigation referrals, including drafting cease and desist correspondence.
Catalog Administration & Due Diligence
• Assist with chain of title reviews and due diligence in connection with catalog acquisition transactions.
• Support copyright registration and renewal filings with the U.S. Copyright Office.
• Help maintain and organize the company's contract database, copyright records, and rights management documentation.
• Assist in tracking ownership splits, co-publishing arrangements, and royalty participation structures across the catalog.
• Research songwriter and artist credits, PRO affiliations, and licensing histories as needed for acquisitions or disputes.
General In-House Legal Support
• Assist counsel in preparing for and summarizing meetings, calls, and negotiations.
• Provide general research and writing support on matters arising across the legal department.
• Maintain strict confidentiality regarding all company matters, proprietary information, and ongoing transactions.
