Senior Counsel, Business and Legal Affairs
Support the overall vision, mission and mandates for the company.
Position summary: Participant seeks an experienced and intellectually curious attorney to join the
Business and Legal Affairs team, with a focus on negotiating, drafting, and advising on matters
relating to our campaign work (including digital and short form content production, distribution,
and social impact and marketing), and scripted and non-scripted TV development, production, and
distribution
Responsibilities:
• Draft and negotiate digital and short form content production and distribution
agreements, including clearance of such productions and marketing materials and social media
content related thereto
• Review and draft film marketing and social impact campaign agreements and supervise
administrative staff in connection with such agreements
• Clearance review of marketing and promotional materials in connection with film,
television, and other company projects
• Provide general advice and guidance to the digital, marketing, and social impact
teams
• Review and draft agreements in connection with the development, production,
licensing and distribution of scripted and non-scripted projects
• Supervise administrative staff in connection with general corporate agreements
• Ensure company compliance with company policies, third party agreements and
applicable laws and regulations
• Other matters at the direction of other senior attorneys
Requirements:
• Juris Doctor degree, and a minimum of 5 years of in-house work experience in Business
and/or Legal Affairs or comparable Business and/or Legal Affairs experience in a law firm
• Strong attention to detail, drafting, negotiation, project prioritization and
organizational skills
• Experience focused on digital and short form content development, production and
distribution agreements
• Experience with drafting and negotiation of scripted and non-scripted television
development and production agreements, including writing, directing, producing, literary rights
option/purchase agreements, production services, life rights, licenses, shopping and attachment
agreements
• Experience reviewing marketing and promotional materials for potential legal issues,
including, knowledge regarding clearances, intellectual property law, risk management and rights of
publicity and privacy
• Interpersonal and professional at building strong relationships, and comfortable with
interacting cross-departmentally with all-level employees.
• Competent at counseling, communicating, and collaborating with internal and external
business partners, including producers, and production partners
• Confident at making decisions that have both, legal and business impact
• Self-starter, accountability, ownership of work, and ability to work in a fast-paced
environment and manage a high-volume workload
