Overview & Responsibilities
The Paramount Corporate Development Group is responsible for sourcing, evaluating, implementing and integrating the company's strategic acquisitions, investments and joint ventures. The Director will play a leading role in the fulfillment of the Group's mission! This position will work directly with business unit counterparts and senior management throughout the organization, and act as a Paramount representative with external parties such as transaction targets and target advisors.
The Group has a process that governs the organization's M&A activities. Within that framework, the Director will work and make decisions with a high level of independence. For unresolved issues, the individual is expected to recommend a course of action for discussion. The individual will have the opportunity to develop close working relationships with key leaders at and beyond Paramount, and as such will need to exercise good judgment and quick thinking!
M&A Assessment & Execution:
• Support, lead, execution of acquisitions, joint ventures, and investments
• Evaluate and summarize investment proposals presented to Paramount by outside parties
• Oversee due diligence process, including coordinating efforts of cross-functional deal teams
• Aid, and in some instances lead, in the negotiation of transaction documents including term sheets, purchase agreements and commercial agreements
• Within a transaction process, serve as Paramount point person in communicating with internal and external working team and advisors
• Develop relationships with Paramount senior leadership, internal business unit partners, and external M&A ecosystem participants (corporate development professionals, financial advisors, private equity investors, venture capital investors, entrepreneurs, etc.)
• Oversee preparation of documents required for transaction approval by senior management; support communicate insights and recommendations around M&A transactions to senior executives
• Lead valuation exercises; develop various financial analyses including financial & operating models, scenarios of projected performance, and financial statement analysis. Periodically present outcome of analysis to senior management
• Assist business units with integration planning and post-close integration tracking
• Contribute to the Group's deal sourcing efforts, including proactive interaction with early-stage companies and advisors
Other responsibilities:
• Oversee and participate in the preparation of presentations and analysis for Paramount executives for board meetings, ratings agency presentations, conferences and other external meetings
• Stay current on research and analysis on media companies / industry trends and related topics. Track media and entertainment companies, industry trends / developments, and M&A transactions in the sector
• Oversee maintenance of peer trading comparables and precedent transaction benchmarks
• Work closely with senior management in long-range planning efforts
• Evaluate and execute potential partnership opportunities across brands and divisions. Coordinate efforts with divisional counterparts. Collaborate with senior executives across Paramount divisions
Basic Qualifications:
• 10 years of experience in M&A / Corporate Development, including roles in corporate development, investment banking, venture capital, private equity and/or consulting
• Demonstrated track record of managing M&A processes, including public and private acquisitions
• BA / BS undergraduate degree required; MBA preferred
Additional Qualifications:
• Ability to aid in negotiations and run a document process
• Proven leadership and interpersonal skills; ability to persuade others and build consensus
• Strong project management skills; experience in managing large cross-functional teams through transaction processes
• Strong strategic, analytic, and problem-solving skills
• Ability to be a self-starter and resourceful; curiosity within traditional and digital media and technology sectors
• Excellent written, verbal communication and diplomatic skills; comfort with senior management communications
• Ability to prioritize, synthesize, and present information and resulting conclusions. Ability to multi-task, execute and thrive in a fast-paced, results-oriented environment. Ability to deal with ambiguity
• Significant expertise with operating and financial modeling and valuation analysis; fully comfortable with PowerPoint and Excel
