Overview and Responsibilities
This is a Senior Counsel-level position to join the Paramount Global Business and Legal Affairs group providing business and legal affairs services for MTV Entertainment with a focus on development and production for long form series programming. MTV Entertainment Group is a one of the preeminent youth media companies in the world that connects with global audiences through its nine iconic brands â€'' MTV, Comedy Central, VH1, CMT, Pop, Logo, Smithsonian, Paramount Network, and TV Land â€'' as well as MTV Entertainment Studios, which produces acclaimed series and movies and award-winning MTV Documentary films.
In this position, you will provide counsel on complex business and legal matters, and manage a heavy volume of structuring, negotiating, and drafting deals for fast-paced productions. These tasks require a working knowledge of entertainment industry standards and best practices, intellectual property law (including Copyright, Trademark, and Rights of Publicity), and union and non-union labor and employment law issues, as well as Paramount Global’s company policy in connection therewith.
The position is currently hybrid (half remote, half in the Paramount Global New York office).
• Negotiating and drafting production agreements (e.g., production services agreements, talent, above-the-line producers, venue and location releases, vendor agreements, license acquisitions, joint promotion agreements)
• Assessing legal and business risks appropriately depending on industry standards for a wide range of production-related legal matters
• Managing relationships internally and in the entertainment community
• Prioritizing tasks against competing deadlines to ensure client timelines are being met
• Reviewing and approving legal contracts for execution by management and advising production management on contract administration and compliance
• Leading legal kick-off calls and protocol trainings
• Drafting, and coordinating distribution of, templates to third party production companies.
• Drafting contract summaries and assisting with other special projects as requested by senior executives.
• Providing on-site coverage for original programming when necessary.
• Performing other day-to-day business and legal affairs-related tasks as needed to provide day-to-day legal support to all levels of internal production personnel and as assigned by senior business and legal affairs executives.
Basic Qualifications
• Juris Doctorate Degree
• Member of the California or New York Bar
• Minimum of 5 years of equivalent experience at a network, studio, entertainment law practice, or production company, preferably with an emphasis on documentary and reality television programming
Additional Qualifications
• Experience in contract law, television industry transactions, and day-to-day legal challenges faced by productions
• Ability to work collaboratively to achieve client goals while exercising sound and ethical judgment
• Mastery of analyzing fact patterns and conducting legal research, analysis, and reasoning to devise creative solutions that allow for execution of the creative vision while minimizing overall risk
• Excellent drafting, negotiation and analytical skills
• Excellent communication (written and oral), interpersonal, and organizational skills, with strong attention to detail
• Proficiency in translating and legal drafting in Spanish is not required but would be a valued asset
• Possess a proven ability to effectively negotiate and interact with agents, managers and outside attorneys, as well as proactively collaborate with client group members to provide guidance and make strategic recommendations
• Ability to balance multiple tasks simultaneously, prioritize workload efficiently and meet deadlines for tasks/assignments
• Ability to build strong client relationships and effectively advise clients under conditions of uncertainty, fast paced and/or high-risk and generate strong client satisfaction through quick turnaround and firm decision-making
