Position Overview
The role of Senior Corporate Counsel will provide legal support and services to the organization over a broad range of practice areas, including corporate law, drafting, interpretation, and management of commercial contracts, intellectual property protection and licensing; data privacy and software licensing.
Essential Duties and Responsibilities
• Draft, review, interpret, and manage a wide variety of commercial contracts including sponsorship agreements, NDAs, software licenses, facility use agreements and vendor agreements.
• Assist in drafting and updating contract templates for use by internal stakeholders.
• Maintain and update legal document management system and departmental records.
• Research various legal issues; provide clear and concise summaries, recommendations, and guidance to internal staff.
• Develop expertise in the areas of sweepstakes, contests, and promotions; draft associated rules and provide guidance to internal staff on legal requirements.
• Assist with document production and discovery for litigation matters.
• Develop knowledge of NBA operational rules regarding media rights, marketing and promotional rights to assist internal partners in the development and implementation of sales initiatives.
• Assist in the licensing, use and protection of trademarks and other intellectual property.
• Draft, review, and manage waivers/releases for events and programming activities.
• Assist with advising Human Resources department with respect to legal aspects of employment and personnel matters.
• Draft and revise employment agreements.
• Develop understanding of organization's risk mitigation and insurance practices to assist in drafting insurance related contractual provisions as well as reviewing and processing certificates of insurance.
• Keep current on industry-wide legal trends and developments, to assist in providing counsel to internal partners.
• Collaborate with legal team members in reviewing, updating, and developing internal employee guides and policies• Perform all other special projects or duties as assigned.
Qualifications
Required Experience and Education:
• Juris Doctorate degree from an accredited U.S. law school with strong academic credentials
• Licensed to practice in United States with state bar membership in good standing
• At least (6) years of corporate/transactional experience in a major commercial law firm or comparable in-house experience
Essential Knowledge, Skills, and Abilities:
• Demonstrated experience in contract drafting and negotiating with strong foundation in corporate and commercial law.
• High level of personal integrity and professional ethics
• Commitment to producing first class work product with exceptional attention to detail
• Excellent research and communication skills, both verbal and written
• Strong interpersonal and relationship building skills
• Superior organizational and project management skills with the ability to independently prioritize workflow and complete projects under time pressure
• Desire to continuously learn, develop, improve and accept new challenges
• Advanced proficiency in use of Microsoft Word, Excel, PowerPoint, legal document management software and associated computer skills
• Demonstrated ability to handle confidential information with appropriate sensitivity and discretion
Preferred Knowledge, Skills, and Abilities:
• Legal experience within corporate sports and entertainment organizations
• Experience with data privacy and software licensing
• Experience with intellectual property matters
• Travel: Position may require travel.
Work Environment
This job operates in a professional office environment. Office hours are typically Monday-Friday from 8:30AM-5:30PM. In addition to working office hours staff may be required to work Timberwolves and Lynx home games, member events and meetings, and networking events. Work is generally sedentary in nature. The working environment is generally favorable. Work is generally performed within an office environment with standard office equipment available.
This job also operates in a sports arena which includes bleachers/steps as well as moderate to high levels of noise.
Physical Demands:
The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job. While performing the duties of this job, the employee is regularly required to communicate and exchange information with others both in person and over the telephone.
The employee frequently is required to remain in a stationary position, as well as operate computers and other office equipment, such as a copy machine, printer and telephone. Staff will frequently ascend and descend bleachers/steps and traverse around the arena both on event days and non-event days. Staff may occasionally move objects weighing up to 15 pounds. Travel Position may require travel to external events.
