Assistant Counsel

Position Summary:

Assists the Vice President, Associate General Counsel (''VP/AGC'') in advising the company concerning legal rights, obligations, and privileges by performing the following duties:

Essential Duties & Responsibilities:

ESSENTIAL FUNCTIONS: The following are examples of the various functions required. The job requirements are not limited to the items on this list.
• Assist VP/AGC in handling day-to-day legal matters of The Heat Group, including corporate, intellectual property, contracts, and all other legal issues as they arise.
• Primary areas of drafting responsibility include waivers and releases, sweepstakes and contest rules, advertising and promotional agreements, license agreements, location agreements, vendor agreements, event contracts, and other documentation.
• Assist VP/AGC in monitoring and enforcing The Heat Group's intellectual property rights.
• Be responsible for familiarity with NBA rules and regulations.
• Assist VP/AGC as needed to facilitate interdepartmental communications.
• Assist VP/AGC with litigation, including drafting and sending correspondence, negotiating and preparing settlement agreements, and coordinating with outside counsel to manage the docket.
• Assist VP/AGC in advising on matters relating to business strategy.
• Assist VP/AGC in overseeing compliance with all requisite state filings pertaining to sweepstakes and contests.
• Assist VP/AGC in providing legal support to The Heat Group's charitable/community service endeavors, including the drafting of contracts, assisting with the issuance of licenses and permits, and otherwise supporting relevant events and liaising with third parties.

Education
and/or Experience

B.A. or B.S., J.D., and two to five years legal experience.

Certificates, Licenses and/or Registrations

Admission to the Florida Bar, or admission to a state bar with corresponding ability to gain certification as Authorized House Counsel in the State of Florida.
