Metro-Goldwyn-Mayer Studios Inc. ("MGM") is seeking a Senior Corporate Paralegal to join its Legal Department. The ideal candidate should be self-motivated and detail oriented with strong organizational skills, with the ability to manage tasks across multiple business units at all levels of senior management.
Responsibilities:
• Provide corporate legal support with emphasis on entity management for numerous subsidiaries and joint ventures (foreign and domestic) and documentation custody;
• Maintain corporate minute books and corporate records; draft resolutions and various other corporate documents, including bylaws, organizational actions, consents and operating agreements; prepare and/or file all formation and dissolution documents of corporations, partnerships and limited liability companies; and, maintain company organizational chart;
• Prepare, file and manage UCC liens and fictitious business name filings for multiple business units;
• Prepare, coordinate and maintain business registrations, authorization/intent to do business, annual reports, etc. (foreign and domestic);
• Manage and prepare credit agreement compliance filings and correspondence, including quarterly supplements and IP reporting;
• Administer and facilitate documentation relating to stockholder matters (stock transfers, option exercises and sale/repurchase transactions);
• Manage, plan and prepare for the annual stockholders meeting, including: preparation of proxy statement, proxy cards, director questionnaires, scripts and agenda; track voting and directing activities with the transfer agent and other vendors to timely print and mail proxy materials;
• Work with other departments as requested to analyze and/or prepare corporate documents (officer's certificates, powers of attorney, etc.) according to business needs;
• Respond to and process requests for banking and financial KYC information, including incumbency certifications of officers;
• Serve as custodian of global corporate records;
• Assist with due diligence and data room projects when necessary;
• Liaise with foreign outside counsel relating to entity management, formation and dissolution matters; CT Corporation for state by state annual report compliance/registration and registered local agent matters; Continental Stock Transfer & Trust for stock transfer related matters;
• Assume other duties and/or assist with special projects as assigned.
Qualifications:
• BA required;
• 2 years prior corporate law firm/in-house corporate legal department experience preferred;
• Experience and trustworthiness handling confidential and sensitive material;
• Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word);
• Strong written and verbal communication skills;
• Strong organizational skills with a high degree of attention to detail;
• Ability to work under tight deadlines and prioritize responsibilities;
• Self-motivated, exercise sound judgment, and demonstrate effective planning, problem-solving and analytical skills;
• Ability to follow up, follow through, and handle multiple projects simultaneously.
