Madison Wells Media (MWM) is looking for a human whose superpower is media and entertainment law and who wants to help lead the growth of a business that's creating value by empowering storytellers.
MWM is searching for an experienced entertainment business affairs executive to partner with the creative and business teams in our LA office as Head of Business and Legal Affairs. The right person is a self-motivated, business-minded leader who will grow with our company and its operating business lines and contribute to the strong team based culture. This position is part of the senior management team and reports to the President of MWM.
Description and Duties:
Manage all legal and business affairs of the company including:
a. Content Creation Activity
i. Development (negotiating and drafting options, acquisitions, talent deals)
ii. Production (negotiating and drafting co-financing, bank deals, insurance, talent deals, oversight of external production counsel as needed)
iii. Distribution (negotiation and drafting of distribution deals - licenses, international sales/licenses, sales agency agreements, CAMAs, guild relations)
iv. Admin - Management of processes related to UCC, liens, Copyright, IP protection
b. Operating Activity
i. Oversight of employment and benefit agreements, leases etc
ii. Management and oversight of external counsel on all matters as needed
iii. Provide practical advice and solutions to internal business partners on all legal matters affecting MWM.
c. Investments and M&A Activity
i. Lead legal diligence of and assist with negotiations on mergers and acquisitions and investments
d. Leadership
i. Help develop culture of empowered teams by setting example of working relationships internal to the company
ii. Help ensure accountability and high performance from each operating business line
Qualifications and Skills:
• At least 8 years of related entertainment and transactional experience, including direct experience negotiating and drafting talent, film financing, content acquisition and distribution and other video, television and film deals as well as practical knowledge of the digital, VR/AR, TV and film industries required.
• Experience advising creative development, distribution and/or business development teams with respect to California, U.S. and international laws and regulations dealing with labor, talent, digital distribution, production and intellectual property is highly desired.
• Strong relationships with potential business partners in digital, TV, VR/AR and film.
• Experience working in-house or providing in-house support for an entertainment, film, television or production company preferred.
• JD and Member of the California bar in good standing.
• Demonstrated ability to effectively negotiate and interact with agents, managers and outside attorneys.
• Strategic thinking and risk analysis to effectively advise senior management under time-sensitive conditions.
• Ability to operate autonomously and manage a varied, high-volume workload efficiently.
• Comprehensive working knowledge of film and television industry agreements, guild and union regulations, contract law and intellectual property rights (as applicable to the entertainment industry).
• Excellent analytic, drafting, negotiation, communication (written and verbal), interpersonal, organizational and computer skills.
• Must be able to provide excellent references
