Prestigious talent entertainment law firm seeks experienced full-time Corporate Paralegal. The ideal candidate is able to execute responsibilities in an efficient and effective manner with minimal supervision. Candidates must exercise good judgment while maintaining strict confidentiality on all matters.
Environment is fast-paced with a friendly and team-oriented culture. This is a great opportunity to be involved with deals made in the film and television industries. Candidates must be detail-oriented, highly organized, professional, self-motivated, proactive and conscientious.
Location: Century City, CA. A minimum of 3 days a week in the office (generally, Tuesday-Thursday).
KEY RESPONSIBILITIES
Form, organize, maintain, merge and dissolve corporate entities, including the following tasks:
File Articles of Incorporation or Organization for new corporations and LLCs
Prepare corporate organizational materials, including:
Bylaws
Operating Agreements
Corporate tax identification numbers and S Elections
Stock Certificate issuance
Employment Agreements
Development Services Agreements
Production Services Agreements
Revolving Credit Agreements
Medical Reimbursement Plans
Prepare annual minutes
Prepare special shareholder and director consents
Prepare assignments
File annual reports, including CA Statements of Information
File foreign registrations
File mergers, including Type F reorganizations
Fictitious Business Name registrations
Tax Residency Certificate filings
Conduct trademark and copyright searches
QUALIFICATIONS
Experience:
Candidate should have a minimum of 3 years of on point experience. Bachelor's degree required.
Skills & Abilities:
Ability to manage multiple deadlines and coordinate shifting priorities between various clients and attorneys
Excellent analytical skills and the ability to exercise appropriate judgment in executing tasks
Exceptional communication skills in both verbal and written form, including the ability to communicate professionally with various levels of personnel and clients (including celebrities) with diplomacy and discretion, while at all times maintaining firm and client confidentiality
Team player mentality
Must possess enthusiasm, flexibility and creativity and be willing to assume challenges and increased responsibility
Computer proficiency with MS Word, Outlook and iManage
The pay range for this position is $36.00 - $48.00 per hour (this equates to approximately $75,000-$100,000 per year if you work your regular work schedule), depending on experience. We offer an excellent benefit package, including a platinum health insurance plan and profit sharing plan. In addition to vacation and sick days, the firm is also closed for the last two weeks of the year.
