OVERVIEW:
ITV Studios Global Distribution division in the Americas is looking for a Legal Counsel to provide legal and business affairs support on a range of contracts and commercial deals including sales, licensing, and distribution deals in television scripted and non-scripted programs, and to assist with other business affairs activities within the department as required. This is an excellent opportunity for a newly or recently qualified attorney to gain valuable experience at a leading global television distributor. The position reports to the VP of Legal and Business Affairs, and is based in ITV's North Hollywood office (currently hybrid remote). The base annual salary range is $100-120k per year, plus up to a 10% bonus, and ITV offers competitive benefits.
KEY RESPONSIBILITIES:
• Reviewing, drafting, negotiating and executing license agreements for sales of ITV programs in various territories throughout the Americas.
• Preparing and negotiating amendments to previously executed license agreements.
• Establishing contact with ITV counterparties and their corresponding business and LBA teams within designated sales territories with a view to developing close working relationships and an understanding of the territories concerned.
• Dealing with ancillary matters pursuant to license agreements.
• Undertaking related enquiries and research, including rights and music issues, program information, legal risks, materials availability, etc., in relation to the above.
• Maintaining a strong knowledge of emerging business models and staying informed of market trends to ensure best commercial practices.
• Collaborating across ITV Global Distribution as well as other areas of ITV, including with other LBA teams, compliance, finance, sales, marketing, press and publicity, as needed.
• Attending ITV departmental and inter-departmental meetings to discuss departmental and company objectives, commercial issues and sales tracking, administrative issues and legal issues relating to the company.
• Attending routine meetings with VP, Legal & Business Affairs to discuss workload, ongoing negotiations and issues arising therefrom (where relevant) and deals concluded, including (where undertaken) proposed variations to ITVGD standard terms as well as any contentious matters arising and their progress to resolution.
• Assisting with and undertaking any other activities within the department as reasonably required.
QUALIFICATIONS:
• Juris Doctor and membership in good standing with the California Bar, or the ability to register as In-House Counsel in California
• 2+ years of relevant legal experience, drafting commercial contracts, concluding deals successfully and quickly (desired, but not required)
• A background in either television or film licensing, commercial contracts and/or intellectual property (desired, but not required)
• Understanding of the breakdown of digital and linear rights, windows, holdbacks and technologies in television or films (advantageous)
• Spanish language skills (advantageous)

• Strong analytical and computer skills (Google Mail, Google Docs, Word, Excel, and PowerPoint)
