Role Summary
This is an outstanding opportunity to take on a prominent business leadership role in leading the Company's music licensing function with regard to strategy for revenue generation, content and product offerings, and risk. The Director, Business & Legal Affairs - Music & Content will work with colleagues to propose available music and other audio content sets and associated license fees to customers in territories around the world, including in connection with airline-issued requests for proposal (RFPs); serve as Company leader in managing relationships, strategic initiatives, and licenses with labels, publishers and music rights societies as well as podcast and audiobook publishers internationally; identify and license repertoires to create a product offering that balances choice, cost and risk; manage the music royalty reporting function; and manage music-related litigation matters, including management of outside litigation counsel. The Director will have one non-lawyer direct report located in Company's London office who is responsible for licensor management support and royalties reporting, among other things. In addition to the foregoing, the Director will be responsible for other deals and matters as assigned, including film and television licensing, satellite television feed licensing, software licensing, bandwidth licensing, hardware products agreements, vendor and consultant agreements, advertising and marketing agreements, and technical service provider agreements.
This position requires a music and content lawyer with strong business affairs experience and substantial knowledge of, and experience with, intellectual property law (especially copyright) and business transactions. The ideal candidate will have ample knowledge of, and experience with, music labels and publishers, as well as music collective rights societies, worldwide, and familiarity with issues arising in cross-jurisdictional commercial agreements. The Director will have the skills and experience to independently manage, negotiate, advise stakeholders regarding, and drive forward key commercial deals from internal analysis and request for proposal to final executed contract, acting in both legal and business affairs capacities. Excellent communication skills, including cross-culturally, will be essential for success in Company's global matrix organization.
The position of Director, Business & Legal Affairs - Music & Content, reports directly to the VP, Business and Legal Affairs, and has one non-lawyer direct report. The position requires regular interaction with domestic and international members of Company's commercial business teams, as well as coordination with other Company shared-services teams and external customers, licensors and other vendors.
Key responsibilities
Interface directly with internal clients and customers to ascertain and provide for business and legal affairs needs, including establishing deal points, analyzing legal risk, counseling, and contract drafting and negotiating.
Act as business and legal affairs lead on complex supplier, customer, licensing, development, work-for-hire, independent contractor, non-disclosure agreements and a variety of other commercial transactions.
Update and create templates for products and services licensed, sold and received by Global Eagle.
Lead, or participate in, the development of business strategy, together with business segment and product leads.
Represent Company in negotiations with licensors, other vendors and customers.
Draft and implement Company business and legal affairs policies and processes.
Take ownership of, and advise across Company with regard to, Company's inbound and outbound product and services agreements globally, including advising business units on rights and products available for use.
Negotiate, and manage relationships, with a wide spectrum of domestic and international content licensors, satellite capacity and service providers.
Manage one non-lawyer direct report and oversee royalties reporting function executed by such direct report.
Work directly with business teams to provide advice on the implementation of strategic and tactical business plans and objectives of the Company.
Audit content practices and recommend and implement best practices and procedures for legal and contracts compliance.
Conduct trainings for business clients with regard to best practices and business and legal risks.
Other duties and special projects as directed by the VP, Business & Legal Affairs.
Qualifications and competencies
J.D. from a top law school.
Admission in good standing to the California Bar.
5-8 years of total legal experience, with a minimum of 3 years in a music business and/or legal affairs role required; other experience in technology and/or media and content business and legal affairs experience highly preferred; litigation experience preferred.
Practical-minded business attorney who has a ''can do'' attitude and is a team player,
enthusiastic, energetic, pro-active, responsive and service-driven.
Experience with cross-border legal issues and licensing preferred.
Willingness to travel to various international and domestic offices where Company's business is conducted on occasion.
Proven ability to work cross-culturally and to communicate effectively with domestic and international clients, customers and vendors.
Prior in-house experience is a plus.
Prior people management experience a plus.
