Job Purpose:
Reporting to the General Counsel of Endemol Shine North America (''ESNA''), the chosen candidate's responsibilities will include oversight of business and legal affairs on development and production of television and digital programming (both scripted and non-scripted) for Endemol Shine Latino and ESNA's Mexico City based affiliate, Endemol Shine Boomdog (''ESB''); handling ESNA's day-to-day general corporate legal matters (to include NDA's, compliance, managing trademark filings, reviewing vendor agreements, managing outside litigation counsel) and the drafting of a wide variety of entertainment-related agreements, including agreements related to the development and production of unscripted/reality and scripted television and digital programming, reviewing clip license agreements, master/synch licensing agreements, and agreements related to the ancillary exploitation of intellectual property (including licensing, merchandising, and product integration) for ESNA's in-house licensing and branded integration team.

Essential Responsibilities:
Endemol Shine Boomdog
• Negotiate and draft agreements in connection with the development and production of unscripted/reality and scripted television and digital programming and the ancillary exploitation of intellectual property (including licensing, merchandising and product integration).
• Particular focus on oversight of ESB's business and legal affairs, including providing support for ESB's activities in the US general market (English-language), as well as US Hispanic and Latin America.
• Handle copyright, trademark, employment, litigation, music, clip licensing, general corporate legal (agreements with outside vendors, NDA's, compliance etc.) and other legal matters (which will include coordinating with outside counsel).
General Corporate
• Advise senior executives in cross-functional teams regarding new deal structures and existing contractual obligations (e.g. HR, communications, finance, facilities, IT, etc.).
• Supervise junior attorneys, paralegal and admin staff; devise and implement company policies.
• Review and administer deal summaries for use by publicity, marketing, finance, production, post-production teams.
• Coordinate with parent company, Endemol Shine Group's (''ESG'') Amsterdam-based legal team on various policies and initiatives.
• Serve on ESG's Global Deals team to optimize deals with SVOD platforms such as Facebook, Apple, Amazon, Netflix and Google/YouTube.
• Handle copyright, trademark, employment, litigation, music, clip licensing, general corporate legal (agreements with outside vendors, NDA's, compliance etc.) and other legal matters (which will include coordinating with outside counsel).
Licensing and Brands
• Draft agreements related to the ancillary exploitation of intellectual property (including licensing, merchandising, and product integration).
• Review vendor agreements.
• Provide intellectual property rights summaries in connection with ESNA's content claiming initiatives.
• Handle other business and legal affairs matters as assigned.
Skills and Qualifications:
• JD required, preferably from top-tier law school
• Must be an active member of the CA Bar or an active Registered In-House Counsel pursuant to CA Bar rules.
• Minimum six to eight years of experience as a practicing attorney (at a law firm and/or in-house), and minimum three years of entertainment-related legal affairs experience as an attorney at a network, studio, or television production company and/or a major law firm, specifically including experience in the fields outlined above.
• Experience with U.S. scripted television/digital media productions as well as non-scripted productions is highly desired.
• Experience working on business and legal affairs matters as well as ancillary exploitation businesses (e.g. licensing, merchandising, product integration, etc.) is preferred.
• Spanish-language proficiency is highly preferred.
• Working knowledge of guild and union (e.g. WGA, AFTRA, SAG, DGA, IATSE, etc.) regulations and issues, related legal trends and business practices is a plus.
• Excellent written and verbal communication skills and references.
• Superior legal drafting and analytical skills, and high level of attention to detail.
• Established relationships within the entertainment industry business affairs and legal communities are a plus; must have an ability to build effective working relationships within and outside the company.
• Ability to prioritize and manage time, with exceptional organizational skills and a facility with handling a constant stream of high-priority projects.
• Ability to independently exercise sound judgment, make sound decisions, and perform under minimal supervision on a daily basis.
• Strong initiative to take on tasks and set own priorities and deadlines and put forth the maximum effort.
Eligibility Requirements:
