Job Description THE ROLE: Vice President, L&BA--Talent Provide senior level guidance and expertise in negotiating, and drafting, as well as overseeing the negotiation, and drafting, of a wide variety of service agreements relating to the development and production of non-fiction audio/audio-visual content (whether long, or short, form) for exploitation on various platforms (e.g., linear, online, streaming, podcast) by A E and/or third-party licensees or commissioning entities. Agreements include those covering on-camera, narration, executive producer, and showrunner services. MORE ABOUT WHAT YOU'LL DO: In regular and routine contact with senior-level and other personnel in various divisions, including A E Programming, Podcasting, Multiplatform Programming, and Category 6/Six West executives, as well as L&BA colleagues: Assist internal clients in crafting deal terms in accordance with prior precedents, while also using personal experience to brainstorm novel deal term approaches if necessary for unique arrangements to meet A E business goals. After coordination with the applicable A E unit, craft deal term offers for anticipated services, interacting regularly and routinely with outside counsel and agents, focusing on maintaining A E business parameters while striving to 'get to yes' if possible and prudent. Negotiate and modify such deal terms as the situation requires after receiving any needed approvals. Draft and negotiate agreements/amendments (or supervise such work) relating to the required services. Procedural, Administrative, and other tasks: As appropriate, regularly meet, and collaboratively work, with various divisions (e.g., Talent Relations, Category 6/Six West, L&BA colleagues, including those supporting Consumer Enterprises and Marketing/Ad Sales) for early awareness of business needs to determine if modification of A E business practices is required (or to discuss adjusting needs with the business clients so that A E practices can be maintained) Analyze, and recommend as needed, procedures and systems to implement tracking of key deal terms (e.g., compensation, exclusivity, approval rights, options) for speed of access when negotiating subsequent deals; accessibility of [some] information by business units and L&BA colleagues will be needed to increase efficiencies. To support A E business units, ensure that template agreements/amendments are maintained, reviewed and revised on a regular and routine basis, collaborating with other senior attorneys in the Content group, and ensuring that colleagues are alerted to modifications. Work with, and train, junior attorneys and paralegals regarding talent matters and parameters. Provide guidance to business units regarding talent-related questions; counsel and collaborate regarding potential talent disputes (which may require drafting of cease and desist letters in collaboration with the Litigation team). Other tasks as time permits WHAT YOU'LL LEARN: On our team, you'll be at the core of A E's businesses-working collaboratively with colleagues in a wide array of departments (Programming, Digital, Production, Talent Relations) as well as your L&BA Content teammates to conclude (or supervise the conclusion) of service agreements so that great content can be developed and created, whether for A E's own exploitation or exploitation by another company. Your expertise and knowledge will be valued and used to help structure deal terms in a manner most beneficial to A E. You'll interact with senior, and other, executives, as well as L&BA colleagues in other areas (including Risk, Rights & Clearances, Consumer Enterprises, Global Content Sales, etc.) While juggling projects may not always be easy, you'll be encouraged to collaborate often with your Content team colleagues to brainstorm and formulate creative solutions consistently, increase efficiencies, and to lend your experience to the training of others so that business parameters and goal posts are understood. Your position is key to an area that will only continue to grow and expand exponentially. YOUR STORY: (what you need to have) JD Degree from an accredited law school and New York, or California, State bar admission (or qualified to register as in-house counsel) 12 years of legal experience in the entertainment field, with 5 years of experience handling business affairs negotiations for recognizable on-air talent services (preference given to prior experience covering legal and business affairs at a cable or broadcast network, or a production company) Familiarity with guild agreements/rules (including SAG-AFTRA) with particular focus on those relating to unscripted programming Strong time management and multi-tasking skills needed; must be comfortable working in a fast-paced environment with the ability to remain calm under pressure Detail-oriented and extremely organized, with ability to re
