Attorney, Legal Affairs
Whalerock Industries is looking for a talented, collaborative attorney with initiative and drive, as well as strong transactional, analytical and drafting skills, superior organizational abilities, creative and pragmatic problem-solving approaches and a willingness to keep informed on new technologies. The ideal candidate will be able to handle a high volume of varied and complex legal work in a fast-paced environment. Duties include drafting and negotiating documents pertaining to partnerships, content acquisition deals, privacy and terms of use policies, technology vendor agreements, ad tech agreements, co-production deals, talent agreements, sponsorship and advertising agreements, and more. The position will report to our Head of Legal.
The ideal candidate…
Will…
• Draft, review, and negotiate general commercial contracts and transactions, including but not limited to a remarkably broad range of media, talent, advertising/sponsorship, technology, digital agency/marketing and related agreements and documents;
• Draft, review, and negotiate agreements related to the distribution of Whalerock properties;
• Draft, review and negotiate talent agreements, producer agreements, rights agreements, service agreements, and other contracts and documents as may be required;
• Provide ongoing legal advice to internal and external clients on a broad range of compliance and regulatory areas, including privacy and data security, digital marketing and advertising, contests and sweepstakes; and
• Work closely with the Head of Legal (and outside counsel as necessary) in handling disputes, litigation, copyright and trademark matters, rights and clearances, information privacy issues, and other matters as may be required.

Has…
• 3 years of transactional experience in a top-tier law firm or corporate Legal and/or Business Affairs department (or comparable experience) negotiating and drafting a variety of software and technology agreements, as well as user agreements for digital products and services, and other commercial/corporate transactional documents;
• A J.D. from a top-tier law school, and an active license to practice in the State of California (or is a California Registered In-House Counsel);
• Demonstrated flexibility and willingness to seek out and learn the laws surrounding new technologies and digital media;
• Demonstrated the ability to prioritize within a substantial and diverse workload, and complete tasks effectively and well within tight deadlines;
• Demonstrated superior drafting skills and attention to detail;
• Demonstrated a strong ability to communicate in a positive, constructive and effective manner across all levels of an organization; and
• Extensive experience in digital media, privacy and data security, entertainment, technology, production or distribution.
