Trademarks and Domain Names Counsel
Summary
The Trademarks and Domain Names Counsel performs the day-to-day activities necessary to maintain current and accurate status of company-wide corporate entity details. Additionally, they manage the activities necessary to maintain Warner Music Group's trademark and domain name portfolios, working with external IP counsel and various company affiliates.
Job Responsibilities
• Advising labels/business groups on the availability, defensibility and commercial advisability of proposed trademarks and domain names, including conducting trademark searches and providing guidance on use and registration issues;
• Managing ongoing prosecution and maintenance of domestic and foreign trademark portfolio;
• Directing outside counsel on enforcement measures, including reviewing and instructing on potential dispute matters (and obtaining label input when necessary); reviewing proposed settlement/co-existence agreements;
• Conducting due diligence on intellectual property aspects of acquisitions/divestitures, including review of purchase/sale documentation and analysis of disclosed IP. Managing integration of IP into WMG portfolio;
• Managing domain disputes and UDRP proceedings;
• Reviewing advertising, packaging, promotional materials, and web site content for proper usage of intellectual property;
• Partnering with Corporate Branding/branding consultants on usage policies as well as various special projects;
• Drafting and negotiating licenses/assignments for trademarks and domain names;
• Reviewing/providing comments on trademark/IP language in various forms of agreements for corporate/business groups including agreements for vendors, artists, corporate sponsorship, international music licensing, digital music licensing, employee IP assignments;
• Proactively auditing trademark portfolio and making recommendations to continue protecting or abandoning trademarks. Includes communicating with various stakeholders for input.
• Reviewing and setting up processes for reporting and consolidation of locally-owned trademarks;
• Managing domain name function including registrations, acquisitions and
• Identifying legal risks in process and creating an enforcement review process for trademark and business issues;
• Negotiating and managing continual consolidation of domain name portfolios;
• Communicating with business groups on strategic approaches to new top level domain name releases (.[brand]; .xxx; .uk);
• Member of the Data/Web Site Task Force and International Privacy Task Force;
• Managing trademark and domain name budget.
Required Education
JD required. New York Bar preferred.
Required Professional Experience & Competencies
• Minimum of 2-4 years previous experience as a trademark counsel either at a law firm or in a corporate legal department.
• Thorough, detail-oriented, well-organized, diligent, personable, good communicator (both verbally and in writing), and team player.
