Full Time Job
We are seeking a Vice President, Counsel to join our Corporate Transactions Group within our Business & Legal Affairs team. In this highly visible position, you will lead all aspects of domestic and international mergers, acquisitions, dispositions, joint ventures, equity investments and similar transactions for Viacom and its subsidiaries, as well as handling other general corporate and departmental matters. You'll be reporting into Viacom’s Vice President, Senior Counsel, Corporate Transactions.
Responsibilities include but are not limited to:
• Working closely with Viacom’s corporate development, tax and accounting teams, divisional business teams and specialist lawyers in connection with review, analysis and implementation of potential transactions
• Developing and maintaining effective relationships with senior management within corporate and divisional client groups
• Leading outside counsel and internal business and legal teams in connection with execution of transactions
• Drafting, reviewing and negotiating confidentiality agreements, engagement letters, letters of intent/bid letters and term sheets
• Drafting, reviewing and negotiating transactional agreements, including purchase/sale agreements, joint venture agreements, and related commercial agreements
• Running due diligence reviews and preparation of related memoranda
• Contributing to the maintenance of internal knowledge management initiatives, including a precedent document database, form agreements, and CLE presentations/training initiative
Basic Qualifications
• Bachelors degree and JD
• Admitted to NY State Bar, or qualified and willing to become admitted to practice in NY State promptly
• 6 years of experience with an active M&A practice at a major law firm and/or a significant corporate legal department
• Excellent negotiating, drafting and transaction structuring skills
• Fluid understanding of relevant M&A case law, securities laws, antitrust and regulatory considerations, and other relevant statutory laws and regulations
Additional Qualifications
• Ability to work autonomously, develop a team and prioritize multiple matters simultaneously in a demanding, dynamic environment
• Demonstrated ability to communicate effectively with others, both verbally and in writing
• Experience in demonstrating strong client relations abilities, working across domestic and international jurisdictions
• High ethical standards and dependability with confidential matters
• Travel as needed
