This is a Counsel level position providing day-to-day business and legal affairs services for Awesomeness, a multi-platform media company that is part of the Viacom family of properties. The role will focus on development and production of both scripted and unscripted long-form and short-form series as well as branded integration and sponsor production services transactions. The role will handle the negotiation and drafting of a heavy volume of fast-paced matters for production of long-form and short-form original content, production of branded content and sponsor marketing, media sales, and content distribution, including talent and influencer agreements across Awesomeness business lines. The Awesomeness business & legal affairs department works closely with the Awesomeness’ Production Management, Sales and Marketing Solutions, Talent, and License and Distribution departments, among others, as well as the larger business and legal affairs team across Viacom Media Networks.
Responsibilities
include structuring, drafting and negotiating talent agreements, including for on-camera services and influencer promotional activities, for the production and distribution of content (including branded content, short-form and long-form and scripted and non-scripted content), production services and related agreements, advertising sales and integrated marketing agreements and distribution and license agreements in all media platforms. Advise and counsel a broad range of client groups representing all various sales and production teams at AwesomenessTV on a variety of complex business and legal matters, including responsibility for, or key involvement in, developing and implementing policies, practices and strategic initiatives across business and legal teams.
Basic Qualifications
J.D. and minimum of 3 years of experience at a network, studio, entertainment law firm or production company.
Knowledge of production-related elements and digital media required, with experience required in content production and distribution as well as one or more of the following areas: talent and influencer marketing, ad sales operations, social media, data licensing, privacy, copyright, anti-piracy and other intellectual property laws, distribution, licensing and entertainment. These tasks require a working knowledge of intellectual property law, including Copyright and Trademark, Rights of Publicity, and employment law issues.
Qualified candidates should possess a strong working knowledge of new media and television industry agreements, contract law and intellectual property rights, demonstrated ability to conduct legal research, analysis and reasoning and excellent drafting, negotiation, communication (written and verbal) and organizational skills. Ability to multi-task to cover a high volume of deals and work independently is an absolute requirement.
