Responsibilities
• The ideal candidate will draft contracts, perform script clearance, conduct legal research, and prepare legal memoranda. This position reports to the Executive Vice President, Legal Affairs.
Key Responsibilities
• Draft, redline, review, and revise complex legal documents, including visual effects, quitclaim, vendor, clip license, location, and main title agreements, as well as standard terms & conditions to overall and talent deals.
• Analyze and summarize complicated legal documents, intermittently assisting with special projects, such as:
• Researching the rights holders of certain intellectual property;
• Evaluating chain-of-title documents;
• Analyzing general provisions of agreements such as force majeure, assignment, and change-in-control.
• Research laws, statutes, constitutions, regulations, court opinions (including precedents and reasoning), and industry trends; prepare legal memoranda.
• Review credits and clearance memos.
• Under general direction, conduct reviews of weekly television and pilot scripts to identify (i) copyrighted and trademarked materials and/or products, (ii) issues with invasion of privacy, defamation and rights of publicity, and (iii) other legal requirements pertaining to material therein, such as names, places, artwork, locations, signage, props, etc.
• Prepare and distribute related E&O memos.
• Generate and circulate Notices of Tentative Writing Credits to conform to WGA regulations.
• Support Legal Affairs executives with administrative tasks on an as-needed basis.
Candidate Profile
• J.D. and admission to a state bar required.
• One to two years of legal experience in a corporation or law firm preferred.
• Strong interest in entertainment law.
• Proactive, meticulously organized, and extremely detail-oriented.
• A team player and business-minded executive who possesses good common sense and judgment, and a desire to thrive in a fast-paced business environment.
• Understands deadlines and has the ability to organize and prioritize a heavy workload.
• Maintains a high standard of confidentiality regarding all business and legal affairs matters.
• Exceptional interpersonal/communication skills (both verbal and written) and highly professional demeanor. Superior grammar, editing, and proofing skills.
• Possesses effective time management skills, including the ability to prioritize multiple assignments without compromising work quality.
