Senior Vice President, SPT, International Production (Los Angeles)
This position is based in Los Angeles and is part of SPT's LA-based development and production team providing business affairs support for the worldwide SPT, International Production and worldwide scripted format distribution groups. This position will report to the Executive Vice President of SPT, International Production in Los Angeles.
• Responsibilities: Provide support in all business affairs matters worldwide for scripted programming and formats, including: (a) negotiating, reviewing & drafting a wide variety of agreements & other documents, including: (i) all manner or development and production agreements, including (for example) writer, rights, consultants, producer, director and actor agreements, all key crew and below the line agreements, location agreements, clearance agreements, and product placements, and (ii) co-production deals with international networks, scripted format acquisition and licenses agreements and production and distribution licenses all related to international scripted projects; (b) working with local & regional SPT, International Production company heads in an advisory capacity to insure that deals for commissioned/licensed productions (development and series programming deals) are structured in such a manner that Sony achieves the best possible deal (in compliance with local customs, practices and laws) at the lowest risk to Sony; (c) working with local offices and finance department to prepare funding memos for management approval of series deals which SPT cash flows or deficit finances; (d) negotiating and drafting agreements with the appropriate Sony divisions with respect to ancillary rights exploitations; (e) coordinating WGA matters relating to scripted format remakes worldwide by coordinating with (i) SPE labor negotiators to provide responses to all questions on WGA remakes and writer deals, obtain side letters for non-US remakes of WGA created series or address any other guild issues that may arise, and (ii) SPT US legal to confirm all WGA or other contractual obligations to the creators of US series formats which SPT licenses worldwide; and (f) facilitating communications between business affairs and outside legal counsel and supervising outside production lawyers as they assist with production and licensing matters.
• Knowledge: (a) comprehensive knowledge of scripted production business and legal affairs matters, including without limitation, writer, producer, director, cast deals and an intimate familiarity with US guild agreements and the obligations of employers under them; (b) comprehensive knowledge of contract, copyright, and trademark law (c) substantial understanding of merchandising, publishing, music issues, multiple forms of distribution (e.g., cable, satellite, VOD, PPV, free tv, DTV, etc.), mobile technology deals; (c) experience working in a multinational company, coordinating projects with multiple divisions is very helpful; (d) experience with rights tracking software and datatbases helpful.
• Ability To: (a) work in fast paced environment with ever changing landscape; (b) adapt negotiations and drafting to meet changing needs of international clients; (c) work toward strategic objectives, work closely with tax, transactional legal, corporate legal, music legal and business affairs, consumer products business affairs, and with local offices to oversee business affairs; (d) prioritize work effectively to optimize results, work effectively under pressure, work as a team with business affairs, supervisors and the company's outside counsel. A self-starter able to advise on production issues as well as take instruction.
Qualifications:
• BA and JD degree or equivalent are required; membership in California Bar is desirable.
• Languages: Ability to speak any foreign language is a plus.
• Position based in Los Angeles
• 10 years of related US scripted television production business affairs experience
• Superior drafting skills are required. The candidate must have the ability to synthesize complex transactional matters and create deal memos and agreements which are clear and easy to administer relating to rights, writing, and talent and production issues of all kinds.
• Background in working in or with multimedia international corporations
