Legal Analyst - Intellectual Property
The Intellectual Property group is hiring a Legal Analyst for the TRA©K-IP team who will be responsible for reviewing documents for analysis of grants of underlying property rights, availability of derivative rights, restrictions to merchandising rights, and evaluating chain of title, as well as rights analysis of acquisition and distribution agreements, co-financing and co-production agreements and accurately and precisely summarizing and reporting the findings.
Core Responsibilities:
• Review, analyze, and summarize complex chain of title documents and underlying property, talent, and production/distribution agreements, as well as acquisition and distribution, co-production, and co-finance agreements. Determine the relevant ancillary rights restrictions and obligations, e.g. talent rights, restrictions and obligations, underlying property rights, restrictions and obligations, and production/distribution rights, restrictions and obligations. Interpret rights analysis for appropriate reporting of the results to the applicable clients (both in-house and outside parties).
• Review talent and underlying property agreements for restrictions on exploitation of distribution rights in connection with dubbing, cut and edit rights, advertising and publicity, and summarize analysis and conclusions.
Requirements:
• BA/BS or equivalent experience required
• 4 years of experience with entertainment industry contracts, experience with underlying property rights and related intellectual property rights terminology preferred.
• Paralegal certificate preferred
Knowledge of:
• This position requires knowledge of entertainment industry contracts related to underlying property rights, talent agreements, co-production and distribution rights and grants of rights and an understanding of the different types of derivative and ancillary rights.
Skill in:
• Analyzing, interpreting and summarizing multifaceted contract language in option/acquisition of rights, talent, and production/distribution agreements.
• Excellent written and oral communication skills required. Must be able to clearly communicate complex issues to business and legal executives.
• Candidate must demonstrate high-level critical thinking skills and be very detail oriented.
• Candidate must demonstrate strong organizational skills, ability to manage project flow and work processes, and attendant follow-up and follow through for short term and long-term projects.
• Skilled in using databases for research, copyright registrations and rights management, and comfortable adapting to proprietary database systems.
• Candidate must possess strong interpersonal skills, including the ability to work cohesively in a collaborative environment.
• Candidate must be flexible and possess the ability to work well in an environment where priorities are subject to revision based on business needs.
• Role requires the exercise of discretion, common sense, and exceptional judgment.
• Must be able to work independently, prioritize work, and meet deadlines.
• Experience in evaluating acquisition and distribution, co-production, co-finance, network license and digital rights agreements a plus.
