Sonar is currently seeking a Vice President to join its dynamic Business & Legal Affairs team in Los Angeles. This position will report to the Head of Business Affairs.
The ideal candidate will be hard-working, highly organized, adaptable, resourceful, and detail-oriented, with outstanding communication and leadership skills.
The Vice President's core job responsibility is to work with Company's development, sales and finance departments to structure, negotiate and draft agreements related to the development, production and distribution of television content. This position will be involved in all aspects of the Business & Legal Affairs department, and the Vice President will be expected to successfully carry a project from the development stage through distribution.
VICE PRESIDENT'S RESPONSIBILITIES:
Structure, negotiate, prioritize, and draft a high volume of scripted development and production agreements. This position will be focused on scripted television but negotiation and drafting of non-scripted, kids, and animated agreements may be required.
Analyze international and domestic co-production/development opportunities and utilize knowledge of Company's interests and market norms to advise on the appropriateness of such arrangements. Structure and negotiate related agreements to benefit and protect the Company's interests.
Analyze and differentiate between competing offers from domestic licensees/studios for Company's projects based on experience, market standards, and Company's strategic goals. Structure related agreements to benefit and protect the Company's interests.
Assist with negotiation, drafting, and review of international distribution agreements. Update license agreements for cutting-edge digital (SVOD, AVOD, TVOD, FVOD, EST) exploitation. Ensure that Company is achieving the best commercial terms for its programming.
Oversee production legal for various projects.
Have and maintain a sufficient knowledge regarding union agreements applicable to the entertainment industry, e.g., WGA, DGA and SAG-AFTRA.
Respond comprehensively to chain of title requests in connection with both current programming and the Company's library titles.
Liaise with outside counsel to advance and protect the Company's interests.
Advise other departments on various legal and business matters. Work with Human Resources on employee-related legal issues.
Work with others in the department to develop policies and best practices related to the department's responsibilities.
Advise senior management on complex business and legal matters.
Have and maintain constructive relationships with key agencies and attorneys within the entertainment industry.
Proactively follow up with colleagues on requests and coordinate solutions to contract issues.
Work on special projects as needed.
REQUIRED EXPERIENCE:
- Juris Doctor degree
- Five to seven+ years prior experience at an entertainment law firm and/or studio with substantial experience in high-end scripted television development and production
• Extensive and in-depth knowledge of negotiating and documenting entertainment scripted transactions and ability to operate independently and proactively
• Extensive knowledge of guild and union issues and industry customs and practices related to such
• Established relationships with key agencies and agents and entertainment law firms and attorneys
• Admission to a state bar association with a strong preference for admission to California State Bar
REQUIRED ABILITIES:
• Superior negotiation, drafting, and organizational skills
• Must have a cooperative, positive, team-oriented approach with demonstrated and superior leadership qualities and an ability to prioritize
• Ability to develop effective and productive working relationships with other senior executives and to clearly explain business and legal affairs issues and concerns to senior executives in other departments. Must be able to provide thoughtful advice on potential risks and issues and propose practical solutions
• Ability to communicate in a clear, concise and succinct manner both verbally and in writing
• Excellent ability to interact professionally with all levels of personnel and management required
• Strong proficiency in Microsoft Windows environment; expert proficiency in MS Word; must have strong competency in working with latest technology and systems
• Very strong planning, organizational, time management skills required; must be able to manage multiple tasks and meet deadlines
• Must be able to maintain confidentiality
• Must be detail oriented
• Must be able to work overtime and travel, as needed
• Must be a confident individual who is a quick learner and self-starter
• Must be able to work independently with minimal supervision
