Paralegal
Team: Legal Department
Status: Regular/Full-time/Exempt
PBS is seeking a smart, organized and high-energy legal specialist to support PBS's Legal Department. The Paralegal will assist members of the Legal Department on a wide variety of legal matters to promote the efficient and effective delivery of legal support.
This Paralegal will be responsible for drafting contracts for PBS and maintaining PBS's contracts management program. This role will require an understanding of contractual terms and conditions, as well as strong drafting skills and experience in negotiating agreements. This role will also help to administer PBS's trademark portfolio, and will support in-house and outside counsel to maintain trademark registrations, file new trademark applications, file trademark oppositions, and monitor new non-PBS trademark applications for potential infringement. The Paralegal will also be assigned general paralegal duties such as legal research, corporate filings, monitoring of compliance with applicable laws, etc.
The ideal candidate for this position is either a senior paralegal or similar legal professional.
Essential Duties:
Contract Drafting and Administration: In this area, the Paralegal will draft contracts and ensure the proper oversight of PBS's contracts management program. Key duties in this area include:
*Draft and negotiate contracts on behalf of various business units within PBS.
*Maintain a database of form contracts for use across PBS.
*Periodically review and update form contracts under direction of in-house counsel.
*Provide training across PBS on contracting processes and policies.
*Other duties as assigned.
Trademark: In this area, the Paralegal ensures the proper management of PBS's trademark portfolio and assists in the enforcement of PBS's trademark rights. Key duties in this area include:
*Maintain records of all PBS trademarks.
*Work with departments across PBS to develop and monitor use of trademarks.
*Work with in-house and outside counsel on filings to maintain PBS's rights in its current trademarks.
*Work with in-house and outside counsel to clear and file new trademark applications.
*Work with in-house and outside counsel to file oppositions to third party trademark applications that may infringe on PBS's intellectual property rights.
*Work with in-house and outside counsel to send ''cease and desist'' letters regarding potential infringement of PBS's trademark rights.
*Other duties as assigned.
Minimum Experience Required:
3 years' experience as a paralegal, to include drafting and negotiating contracts or otherwise working as a contract manager. Experience as a paralegal specializing in trademark law and administration is preferred, as is experience in the media industry.
Minimum Education/Training Required:
Bachelor's degree. Paralegal certificate preferred.
Skills & Abilities Required:
*Demonstrated excellence in drafting and negotiating contracts
*Demonstrated attention to detail in all aspects of work
*Strong organizational skills
*Strong legal research skills
*Ability to manage detailed assignments autonomously, and to assess independently what issues to escalate for higher level review
*Ability to learn quickly, and demonstrated ability to be a self-starter
*Strong interpersonal skills, with ability to understand, communicate, and address issues at and between all levels of corporate hierarchy
