The Bond Attorney will report to the manager of the bond department and is responsible for structuring, negotiating, drafting and managing the financial closing and the legal and business matters concerning the production, completion and delivery of our bonded film, animation, television and cable productions. This position is also responsible for managing the legal team, client-development and assisting the manager in all other aspects of the department, including marketing, corporate mattes, litigation and managing ProSight's bond documentation.
The individual will work closely with financiers, lawyers, agents, talent managers, distributors, insurance brokers and other insurance personnel, producers and other production personnel, and executives and other personnel at ProSight.
Responsibilities:
Collaborate with underwriting to analyze, evaluate and present potential projects to bond, including, discussing projects with producers and other production team members, identify risks in the financing, legal and production plan and presenting the plan to the insurance and bond team.
Undertake and/or manage the review, negotiation and drafting of the agreements necessary and related to the bonding of a project, including, completion guaranty agreements, producer's completion agreements, interparty agreements, notice of assignments, deposit account control agreements, lab pledgeholders, delivery schedules, intercreditor agreements, production and talent agreements, finance agreements, security agreements and chain-of-title documents.
Manage and/or collaborate with other department members to ensure the production, completion and delivery of each bonded project, including tracking and ensuring each project conforms to the bonded specifications, is delivered on time and is appropriately funded.
Develop and strengthen business relationships with financiers, producers, distributors, sales agents and other members of the film finance community.
Work under the direction of the department manager to market, strengthen and innovate business opportunities.
Gain understanding of insurance products, services and their involvement in film financing.
Provide the department manager with advise and support regarding legal and business developments affecting each bonded project and the film finance industry in general
Handle legal and business projects concerning the bond industry as assigned by program manager or other executives at ProSight.
Serve as a resource to clients
Qualifications:
JD from an accredited law school
Member in good standing of at least one state bar
At least 2 years' experience working in the entertainment industry required
Demonstrated progressive and broad based comprehension of the entertainment industry and the financing, production and distribution of entertainment projects
Excellent verbal and written communication skills
Ability to multi-task and work under pressure and significant time constraints with integrity and honesty
Ability to deal independently and effectively with various legal matters at once
Must be industrious, self-motivated, highly organized, positive, team and detail oriented
Must have a proactive business, solution-oriented, client-welcoming approach
Strong analytical, research, problem-solving and decision-making skills, with the ability to skillfully present supporting information and reasoning behind the decisions made
Proficient use of MS Office Suite (Word, Excel, PowerPoint
