Counsel, Business & Legal Affairs (Production & Programming)
Counsel, Business & Legal Affairs (Production & Programming) serves as a trusted and highly collaborative member of the Pac-12 Networks' legal staff providing in-depth counsel and business affairs advice to the Programming, Production, Engineering, Digital Products, IT, Creative Services, and other business units.
This position requires a keen ability to adapt to new situations, function collaboratively within work teams, independently identify and complete work product, and handle a high volume of transactions, matters, and agreements. The person for this position should have excellent drafting, negotiation, communication (written and verbal), and interpersonal skills. This role is part of the Pac-12 legal team which works collaboratively with all departments to devise creative solutions to support Pac-12's success and execute its creative vision in compliance with corporate policies and guidelines while minimizing overall legal and business risk.
The Pac-12 office is based in San Francisco but this position is open to fully remote employees in the states of California, Washington, Oregon, Arizona, Colorado, and Utah.
RESPONSIBILITIES INCLUDE, BUT ARE NOT LIMITED TO:
• Serve as a general in-house counsel with a primary focus on media production-related matters, including intellectual property rights, content clearance, trademark licensing, company production and advertising standards, publicity and privacy rights, vendor partnerships, and other matters related to production and programming. Occasionally support ad sales, sponsorship sales, and other commercial and litigation matters.
• Draft, modify, negotiate and supervise to execution of complex agreements for the development and production of programming, rights, and clearances, music licenses, event production, vendor or developer engagements, as well as other commercial agreements.
• Structure, draft, and negotiate a wide variety of agreements for technology and services, including software license, software as a service, professional services, and non-disclosure agreements.
• Advise business units on strategic and complex business and risk management matters.
• Analyze and advise about the ramifications and implications of transaction features.
• Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes that may affect the Pac-12. Stay up-to-date and keep key business partners informed about changes to existing policies, laws, and regulations.
• Perform pre-litigation work to minimize risks and maximize legal rights.
• Perform other duties as assigned.
QUALIFICATIONS:
• JD or equivalent.
• Admission to California State Bar in good standing or willingness and qualification to be Registered In-House Counsel.
• A minimum of 3 years of relevant work experience.
• Background in intellectual property law, data privacy and data ownership law, security law, and/or original content production transactions.
• Ability to take ownership of projects and think proactively to anticipate and understand the implications of agreements, contractual provisions, and related decisions on a business, including identifying and assessing potential risks and impacts.
• Strong interpersonal skills with the ability to build relationships and communicate effectively with people at different levels both within and outside the company, including other attorneys, senior executives, managers, and engineers.
• Ability to handle multiple tasks on tight deadlines while remaining organized, composed, and thoughtful.
• Strong attention to detail, commitment to quality, and passion for results.
• Some travel may be required.
