Responsibilities of Role
This Sr. Counsel role reports to the Vice President, Business & Legal Affairs and is part of a team responsible for providing Business and Legal Affairs services and advice to Indigo.
Responsible for all legal matters during the course of development, production, post-production and distribution including but not limited to evaluating rights/chain of title, copyright, trademark and clearance matters, guild issues, and advertising, promotion and publicity matters.
Structures and negotiates development and production deals with talent agents and lawyers, production companies and studios (including profit participation).
Drafts, negotiates, reviews, analyzes and interprets production contracts including writer, producer, director, actor, production services, rights acquisition, co-production, indemnity and quitclaim agreements in an accurate and timely manner, advises production partners during negotiations, and provides timely and thoughtful legal advice on potential risks and issues to internal business and creative partners.
Interfaces with production service companies and internal business and creative partners to ensure all chain-of-title, guild requirements, legal requirements (e.gs., Pence forms, minor confirmations), clearance processes (title, script, production), production contracts (above- and below-the-line talent and crew, locations, vehicles, equipment, vendors, visual effects and music) and credits are completed in an accurate and timely manner.
Advises and interfaces with all key joint venture and studio departments including creative, production, finance, casting, labor, content and production risk, music, ad sales, marketing, publicity, brand development, insurance, tax, residuals, participations, distribution, and trademark and clearance teams on matters related to productions.
Reviews budgets and cash flow schedules with production and finance executives; reviews and approves invoices for rights, talent and production services payments.
Prepares training materials and provides training to production personnel and internal business and creative partners.
Represents Indigo with outside talent representatives, studios, production personnel and internal business and creative partners regarding production matters and contracts.
Drafts and improves form agreements, production guidelines, legal asset management documents; identifies and implements process improvements.
Supervises a paralegal and an administrative assistant in the review and logging of all production legal deliverables and maintenance of accurate, up-to-date Project Trackers.
Supervises a paralegal in the preparation of chain of title documentation and contractual compliance summaries.
Assigns matters and supervises outside counsel; reviews and approves invoices.
