Responsibilities
Under the general direction of the SVP, Legal & Business Affairs-Licensing, the Director will be responsible for reviewing, drafting, negotiating and interpreting IP licensing agreements, complex commercial contracts, marketing and co-promotion agreements and other legal documentation, as well as counseling on commercial IP, rights acquisition, talent and studio entertainment matters, in connection with Universal Parks & Resorts (UPR) location-based entertainment (LBE) and live entertainment initiatives. In coordination with UPR and Universal Beijing Resort (UBR) legal team members, the Director will also provide advice and guidance on commercial IP and rights acquisition, license compliance, licensor approvals and contractual obligations requirements in connection with UPR's management of UBR's marketing and entertainment activities and other UPR rights acquisition, talent and studio entertainment matters.
Responsibilities
/Job Duties:
• Assist with the structuring, review, drafting and negotiation of sophisticated IP-focused and other commercial contracts, including complex IP licensing arrangements, purchase and sale agreements, lease agreements, development agreements, management agreements, services agreements, location and event agreements, and marketing and co-promotional agreements in support of UPR's LBE and live entertainment initiatives
• Advise on IP rights acquisition, talent and studio entertainment matters, license compliance, licensor approvals, contractual obligations, and commercial IP requirements in connection with UPR's management of UBR's marketing and entertainment activities and other UPR projects and initiatives, including co-promotional opportunities and collaborations with UPR's and NBCUniversal's other licensees and partners
• Participate in the drafting of policies and procedures and the development of training materials surrounding contractual compliance, licensing requirements and legal approvals for licensed material uses, to advise and guide UPR and UBR team members
• In collaboration with other UPR legal and business affairs team members, advise and coordinate with executives at all levels of seniority as well as PRC and other outside counsel, as needed, to identify and resolve business and legal issues and provide ongoing advice and support
• Work on licensing administration matters, including projects involving rights and chain-of-title research, IP protection and infringement enforcement
• Manage special projects, research and monitor applicable U.S. and international laws, regulations and policies, and perform other duties as assigned
• Provide supervision and guidance to the contract administration team in connection with the foregoing matters
Qualifications
/Requirements
• JD or LLM degree from a top-tier accredited law school
• Active member in good standing of the California State Bar, or willingness and qualification to be registered in-house counsel
• Minimum of five to ten years of professional experience practicing law at a major law firm or in-house legal department. At least five years' experience involving complex intellectual property, media entertainment and/or contractual compliance matters.
• Demonstrated IP licensing and commercial contracts experience, including know-how in contract interpretation, negotiation and drafting
• Strong understanding of and experience with international transactions, intellectual property, entertainment production and marketing matters
• Willingness to work nights and, if needed, on weekends
• Ability to travel periodically, both domestically and internationally
