Job Summary:
The Associate Principal Counsel is responsible for negotiating and drafting agreements related to the development and/or acquisition of technology and other IP for Lucasfilm and its affiliates, Industrial Light Magic (ILM), Skywalker Sound, and ILMxLAB. This position will provide guidance and counsel to creative and production executives on legal matters related to technology transactions, production service agreements, intellectual property, licences and new business ventures as well as advising internal business units regarding production service vendor (a/k/a ''below-the-line'') issues related to Lucasfilm's motion pictures, live-action television and direct-to-consumer content.
Responsibilities:
We are looking for an Associate Principal Counsel who reflects the innovative spirit, creative talent, and passion for great storytelling and filmmaking that define Lucasfilm.
Organized, detail oriented and strategically minded are key words for the Associate Principal Counsel. On any given day, you might:
• Negotiate and draft agreements to develop or acquire technology for use in connection with television, direct-to-consumer and immersive media productions.
• Provide legal and business affairs counsel and transactional support to ILM, ILMxLAB and Skywalker Sound.
• Draft complicated rights acquisition, license and/or sharing agreements and provide legal analysis related to chain-of-title, intellectual property rights and other rights management matters where both creative (copyrights) and technology (patents) rights may be at play.
• Oversee and draft production services agreements pertaining to concept art, visual effects, post production sound and related services for ILM and Skywalker Sound.
• Provide legal and business affairs support for matters related to new business initiatives, such as new production service offerings (e.g., ILM StageCraft) and establishing new ILM global facilities, as well as new media products and experiences produced by ILMxLAB.
• Draft and negotiate a variety of production agreements including locations, leases, vendor/equipment, catering, third party consulting and other production related agreements.
• Evaluate and advise on clearance matters, guild issues, and other concerns relating to the production, marketing and exploitation of feature films and episodic content produced by Lucasfilm.
• Perform duties under direction of Principal Counsel with moderate to minimal supervision.
Basic Qualifications:
Here are the skills and experience you need to be successful in this role:
• 5 years experience with a minimum of 2 years in the entertainment industry or in the technology industry with a focus on entertainment (e.g., gaming).
• Solid understanding of theatrical motion picture and/or episodic business and legal issues. Demonstrated capacity to keep current on emerging business and legal trends in motion picture, television and new media industry.
• Superior drafting, negotiation, communication and organizational skills. Experience drafting and negotiating software licenses, above and below-the-line production service agreements, and related transactions preferred.
• Experience helping start-up companies operating at the intersection of technology and entertainment a plus.
• Strong interpersonal skills, with the ability to work well in a team environment and act as a resource to colleagues with less experience. Ability to build interdepartmental relationships at all levels.
• Demonstrated ability to think strategically and present arguments to higher-level attorneys and clients to help shape strategic decisions made by those individuals.
• Ability to evaluate and reconcile issues from the business-unit and enterprise level perspective.
• Exceptional organizational, prioritization and time management skills with the ability to work under deadlines and execute efficiently against multiple, high-priority and high volume projects. Demonstrates a clear ability to manage fast paced production environment.
• Ability to work in an environment with a high degree of confidentiality.
Required Education
JD degree required. Admission to California State Bar Association (or willingness and qualification to be Registered In-House Counsel) and law degree from an accredited law school.
