JOB DESCRIPTION
21st Century Fox is looking for a Manager to join its Legal Department at the Corporate Head Office in New York City.
Responsibilities:
• Manage matters in connection with Board of Directors including Board and Committee meeting logistics and schedule, preparation and distribution of materials via Boardpad app, tracking meeting attendance, tracking share ownership and compliance with ownership policies, website updates, directors and officer questionnaires
• Manage internal SEC filings including Forms 3, 4 and 5, 144 and Form 8-K
• Manage planning and preparation of shareholder meetings including distribution of proxy materials and related documents and filings; proxy cards, voting and internal websites
• Maintain all key corporate governance documents and policies in detailed file sharing system
• Draft minutes, routine resolutions and written consents and maintain all records of the Board, Committee and stockholder meetings in detailed file share sharing system
• Manage stockholder matters including relationship with stock transfer agent, maintain outstanding share information and beneficial ownership information for directors and officers, coordinating responses to stockholder questions and issues, managing unclaimed property reporting, NASDAQ filings, notifications and compliance
• Manage governance and corporate housekeeping matters for parent corporation and assist with US and foreign subsidiaries
• Provide support for M&A activities and other corporate transactions
Requirements:
• At least 4 years of legal assistant experience at a top-tier law firm or in-house office required
• Proficiency with Microsoft Office, including Excel and Power Point
• Working knowledge of Blueprint entity management software, Boardpad and Drop Box (or similar)
• Proven ability to work effectively under pressure in a fast-paced, deadline driven environment
• Strong attention to detail
• Highly organized with excellent analytical, written and oral communication skills
• Outgoing and strong interpersonal skills
• Self-starter, quick and flexible learner
• Team player willing to take on new projects and assignments as the department grows
• Ability to pick up new technological tools quickly
• Hands-on experience and in-depth knowledge of general legal concepts, terminology and principles related to SEC and jurisdictional filings, corporate formation and charter documents, board and committee charters and minutes, stock plans, mergers & acquisitions
• Experience drafting and filing routine SEC documents
• Excellent project management skills
