Full Time Job
Our Business Affairs Department reviews and approves all corporate contracts and documents. This position is responsible for all facets of preparing these documents for signature. This process includes the following:
As necessary, discuss the situation or pending transaction with the applicable stakeholders; clients, management, sales, engineering or others. Get a clear understanding of the subject matter and the intent of the language and how it may affect Company's responsibilities or insurance requirements.
Verify the accuracy of information presented in the document, such as: inventory lists, terms, pricing, etc.
Review the document making notes of items that need to be revised to be consistent with established guidelines.
When required, discuss the document's issues with the stakeholders to ensure there is complete understanding.
Redline and negotiate the changes requested, with the document's owner.
Present the document for signature and return signed copies as required.
Document Types:
• Non-Disclosure Agreements
• Master Service Agreements (Vendor or Client)
• Vendor Terms and Conditions
• Laboratory Pledgehold Agreements
• Laboratory Access Letters
• Leases
• Others as needed
Other duties include:
• Draft letters and notices as needed.
• Complete various forms (W9, Customs POA, new client vendor registrations, etc.)
• Review contract insurance requirements with Company's brokers
• Answer phone and email inquiries
• Assist in maintaining various license and inventory files.
• Scan documents into legal files
Experience, Education and Skill Requirements:
• AA Degree+ in Business and/or Paralegal Certificate (emphasis in contracts)
• Proficient in MS Word, Excel and Outlook
• Highly professional verbal and written communication
• Ability to draft language to integrate business issues into contracts
• Experience in setting priorities to handle multiple tasks/projects
• Excellent organizational skills and attention to detail
• Clear understanding of confidentiality on high profile matters
• Positive, can-do attitude
• Knowledge of the entertainment industry a plus
