The Role
The Counsel, Content & Procurement position will be based in our Silver Spring, MD office. This position will be responsible for independently drafting, negotiating and managing agreements for (1) the acquisition, production and distribution of educational content and (2) Discovery Education's independent contractor and vendor agreements.
Responsibilities
Content Acquisition & Rights Management
1. Structure, negotiate and draft content acquisition, distribution and production agreements and ensure Discovery Education’s continuing compliance with such agreements
2. Provide proactive support to client teams by assisting them in understanding and complying with agreement terms
3. Conduct rights checks and advise client teams regarding rights and clearances for use of content in Discovery Education’s products
4. Maintain accurate, comprehensive and timely rights data records
5. Develop and drive implementation of strategies for optimizing acquisition of content in a cost-effective manner
6. Generate monthly reports indicating key metrics, successes and issues
7. Compile thoughtful post-mortem analyses to determine areas for optimization and improvement
Vendor/Independent Contractor Agreements
8. Draft and negotiate agreements with vendors and independent contractors and manage such agreements post-execution
9. Prepare formal requests for quotes and proposals from vendors; compare prices, review specifications and evaluate responses to select the best vendors
10. Create long-term vendor selection strategies and lead the vendor selection process across multiple categories and internal teams
Requirements
* JD and admission to at least one US state bar
* Minimum of 2 years’ experience, preferably in a rights & clearances or licensing setting
* Procurement experience is a plus
* Excellent drafting, negotiating and analytic skills
* A strong background in trademark and copyright laws and licensing
* Highly motivated, extremely detail-oriented, organized and able to work independently
* Excellent business and legal judgment
* Must have the legal right to work in the US
