Deluxe currently has an opening for a Vice President & Associate General Counsel, Transactional. This
position will be located in Burbank, CA.
SUMMARY:
International digital media, entertainment and technology services company, is seeking an experienced
transactional lawyer to join its in-house Legal Group in its Burbank, CA corporate headquarters.
DUTIES AND RESPONSIBILITIES:
- Critical member of Legal Department, providing direct support to other attorneys and business teams.
- Role reports directly to the General Counsel.
- Day-to-day responsibility for transactional matters for innovative company with multiple international locations.
- ''Quarterback'' for M&A and other strategic transactions that are often international / global in scope.
- Draft and negotiate complex agreements (including financing documents, strategic transaction documents,
customer contracts, vendor contracts, real estate and other financing arrangements).
- Proactively drive key transactional projects, including credit agreement analysis and financing transactions,
M&A, joint ventures and other strategic deals.
- Advise operational personnel on various corporate and commercial matters.
- Assist in managing outside counsel, including international local counsel and specialists.
REQUIREMENTS:
- Outstanding academic credentials.
- Member in good standing with California State Bar (or eligible for admission as Registered In-House Counsel).
- 6 years of work experience. Experience at a top-tier law firm preferred; Prior in-house experience a plus.
- Must have strong general transactional experience; Credit agreement / Financing experience strongly
preferred; M&A experience required.
- Excellent drafting and negotiating skills.
- Highly motivated self-starter, responsible, extremely detail-oriented, organized, able to work independently and
to handle multiple tasks in a fast paced, high pressure environment.
- Demonstrated ability to ''own'' and manage projects, dynamically problem solve and liaise and manage multidisciplinary
teams.
- Ability to ''quarterback'' cross-disciplinary deal teams and proactively drive deals.
- Strong interpersonal communication skills with personnel at all levels of the company.
- Unquestionable ethics and integrity.
