This position is responsible for all business and legal affairs relating to our agents and clients across all departments and all general agency matters. We have offices in Los Angeles, CA and New York, NY. The chosen candidate will be based in Los Angeles and shall be responsible for handling the negotiation, drafting, and closing of all agency-related deals and business relationships; including talent agreement deals, GSA's, and all other agreements for the ancillary exploitation of intellectual property.
The Head of Business Affairs shall report to the Partners of the Agency and will advise and support all personnel on business, legal, litigation and rights-related matters.
The environment is demanding and fast-paced. The person in this position will be considered an integral and valuable member of the Agency's senior management team and have the goal of increasing efficiency within the business/legal affairs department and interacting with other departments and those outside the company including agents and outside counsel.
Qualified candidates must possess a strong legal/drafting background, strong negotiating skills, relentless attention to detail, positive attitude, strong management skills, strong interpersonal skills, enthusiasm for the job and completion of tasks, and flexibility.
ROLES AND RESPONSIBILITIES
• Provide guidance and oversight of agents work product, which would include letter drafting (breach, protection letters, settlement letters, C&D letters), and negotiating legal clauses contained in lower priority branded department agreements.
• Advise senior management in connection with deal strategies and complex business and legal matters.
• Work with the Human Resources Director to identify best practices and development of company-wide policies and processes, as well as implementation and maintenance of such practices.
• Review of offers and negotiation of terms & conditions templates and other types of engagements.
• Create standard forms for company-wide use, such as letter templates and terms & conditions for engagement agreements.
• Handling of internal and external communications, document review, and negotiation and drafting of settlement agreements.
QUALIFICATIONS AND REQUIREMENTS
• A JD degree and 5-10 years of business and legal affairs experience. Preferably in the entertainment industry and furthermore, a talent agency is a plus.
• Must have high level of interpersonal skills to handle varied personalities and sensitive situations. Position requires demonstrated poise, tact and ability to maintain confidentiality.
• Work requires excellent attention to detail, ability to prioritize and meet deadlines.
• Excellent written, verbal and interpersonal communication skills.
• Superior negotiation and legal drafting skills and unyielding attention to detail.
• Maintain relationships with key agencies, managers, and attorneys in the entertainment community.
• Ability to prioritize and manage time, with exceptional organizational skills and a facility with handling a constant stream of high-priority projects.
• Superior analytical skills; Ability to independently exercise sound judgment, make sound decisions, and perform under minimal supervision on a daily basis.
• Strong initiative to take on tasks and set own priorities and deadlines and put forth the maximum effort.
• Ability to excel under pressure in a demanding, fast-paced, results-oriented work environment.
• Ability to build effective working relationships within and outside the Agency.
• Create and administer legal processes and best practices for the Agency.
