We're looking for a Senior Director, Legal & Business Affairs to join our team in West Hollywood. (Salary and title are negotiable based on prior experience.)
Reports To: Head of Legal and Business Affairs
Responsibilities:
-Principal responsibility is for legal matters of the Company. The attorney shall be responsible for supporting the legal needs of company's short form and long form development, production, distribution, editorial digital video, branded entertainment, commercial groups, ad/sales, and Funny Or Die DC office. The attorney will be responsible for negotiating and drafting various agreements with television networks, distributors, talent, producers and below-the-line personnel. The attorney will also draft release agreements in connection with the company's programming and review and assess programming content for clearance issues and potential intellectual property, privacy and defamation matters.
-Negotiate and draft agreements for all facets of television production and development, including license agreements, above-the-line agreements, option and literary purchase agreements, production services agreements, production placement and promotion, assignments, releases, contingent compensation definitions, co-production agreements, co-finance agreements and acquisition agreements.
-Negotiate and draft branded entertainment agreements, ad/sales agreements, commercial production services agreement and oversee all related production legal matters.
-Provide business counsel, including negotiation and review of contractual obligations and options, copyrights, contract administration, etc. -Review and strategizing in connection with the negotiation of agreements in connection with talent rights and clearances, and draft appropriate contracts to acquire rights or provide assistance to licensees or third parties, as appropriate, to acquire such rights.
-Negotiate intellectual property licenses and provide business advice and counsel to senior company executives regarding all material business terms.
-Negotiate talent agreements.
-Structure and draft joint venture, co-production, output and co-venture agreements as appropriate.
-Supervise outside counsel, paralegal and clerical subordinates in the performance of legal, business and compliance-related tasks.
-Perform other related duties as assigned.
Requirements:
-J.D. from an accredited law school
-Active member of the California State Bar
-Combined minimum of 3 years of relevant experience at a reputable law firm and one or more networks/studios/production company handling development and production work for scripted television series.
-Guild knowledge
-Experience within Scripted TV
-Advertisement, distribution experience (or knowledge of such industries), strongly preferred.
-Exceptional organizational skills and time management skills, with the ability to effectively manage a high volume of workload in a fast-paced environment.
-Strong written and oral communication skills.
-Ability to understand and devise new business models.
-Excellent academic credentials and references, solid analytical skills, and a teamwork oriented attitude required.
-Must have strong interpersonal skills, and be able to interact effectively with individuals inside and outside the company from varied technology and production disciplines, such as senior creative and production executives, artists, advertisement executives/agencies, and software engineers.
-Solid background negotiating a wide range of entertainment, advertisement/ sponsor/ branded entertainment, and/or technology agreements, a plus.
-Ability to evaluate and reconcile issues from the business-unit and enterprise level perspective.
-Ability to prioritize and take initiative, maintain attention to detail, excellent organizational skills, with the ability to follow through on numerous projects.
-Ability to work in an environment with a high degree of confidentiality.
-Ability to work with high volume, high stress, highly complex (or sometimes very simple) issues while having fun!
Preferred Qualifications:
-Branded Entertainment/Commercial experience
-Corporate law experience
-Deep understanding of media business models
-Deep interest in technology and innovation
-You must be enthusiastic, enjoy working hard and getting things done, and demonstrate sound judgment even in ambiguous situations.
-Desired candidate will possess a demonstrated ability to effectively negotiate and interact with agents, managers and outside attorneys. Must be able to work independently, multi-task under pressure, and manage a high-volume workload efficiently. The Legal & Business Affairs department is a collaborative team and the ideal candidate will have a cooperative and positive spirit.
