This position requires a highly accomplished, strategic, yet hands-on executive with consistent demonstrated results in an organization with multi-faceted and complex business operations. This person will oversee studio operations, spanning the content curve from multi-million dollar network television shows to micro-budget Instagram and Snapchat video while leading deal-making functions to support content creation initiatives. This will require them to craft and oversee a bleeding-edge IP exploitation strategy, inclusive of distribution, in a quickly changing media and technology world. Duties include drafting and negotiating documents pertaining to joint ventures, partnerships, content acquisition deals, sponsorship and advertising agreements, co-production deals, talent agreements, technology vendor agreements, ad tech agreements, and more. Will…
• Initiate and drive new businesses such as studio production, distribution, ancillary exploitation; evaluating and executing on best choices between internal investments and outsourced alternatives to support new business needs.
• Implement effective IP distribution, retention, rights/asset management and exploitation strategies to preserve content value, unlock new opportunities and maximize existing ones.
• Provide oversight of all digital media and unscripted TV productions, inclusive of shooting, post and through to delivery.
• Partner with Finance on the preparation of all budgets - allocating resources to adapt to changing circumstances while ensuring revenue, profitability, cash flow and other business goals and objectives are met.
• Manage contract negotiations and labor relations on each project.
• Liaise with network executives on company produced projects.
• Partner with studio operations to create and ensure efficiency.
• Work with the CFO to build financial models, investment cases, and efficient deployment of resources to produce and distribute media.
• Manage relationships with and partner closely with outside counsel on broad range of matters.
• Draft, review, and negotiate general commercial contracts and transactions including but not limited to a remarkably broad range of media, talent, advertising/sponsorship, technology, joint venture, and financing agreements.
• Be a business partner and adding value by improving the quality of decisions and ensuring that the chosen strategy / decisions deliver the highest value at an acceptable level of risk.
• Draft, review, and negotiate sophisticated term sheets and agreements related to the distribution of Whalerock properties.
• Draft talent agreements, producer agreements, rights agreements, service agreements, and other contracts as necessary.
• Provide ongoing legal advice to internal and external clients on strategic and complex matters.
• Work closely with outside counsel in handling litigation, employment, copyright and trademark, rights and clearance, and privacy issues.

• 10 years of transactional experience in Legal and/or Business Affairs, ideally with both first-rate law firm and in-house experience.
• A J.D. and an active license to practice in the state of California.
• Extensive experience in digital media, entertainment, technology, production, and distribution.
• Excellent critical thinking and analytical skills, with a demonstrated track record of sound business and legal judgment.
• Superior legal drafting skills, with a high level of attention to detail.
• Established relationships within the entertainment and online business and legal communities.
• Results oriented, extremely proactive and a highly responsive individual with excellent communication skills.
