Department Description: Responsible for the oversight, drafting and negotiating of all employment agreements, separation agreements and consultant agreements; provide advice and counsel on day- to- day employee relations issues, policy development and compliance with state and federal employment laws; and oversee HR training initiatives and legal intern program.
High Level Job Description: Responsible for oversight and administration of contract approval process. Under the supervision of an attorney, drafts and, in many instances, negotiates the employment, separation and consulting agreements for the employment legal team. Independently leads, participates and/or works with a team on special projects, as needed. This position is essential to the company since various senior executives are under contract. Knowledge of basic legal concepts including contract law as well as a background in contract drafting is essential for this position.
Detailed Job Description/ Responsibilities:
Under the supervision of an attorney and/or in consultation with legal counsel performs the following:
-Review and analyze employment agreement, separation agreement and consulting agreement deals to ensure terms are in compliance with the Delegations of Limited Authority policy and corporate policy.
-Respond on a timely basis to inquiries from senior executives and HR generalists on employment agreement issues/separation agreement issues or general issues.
-Prepare employment/separation agreement and consulting agreement term sheets (if applicable) in order to obtain appropriate approval from the applicable senior executives with approval authority
-Under the supervision of an attorney, draft employment agreement, separation agreements, consulting agreements and certain other vendor or corporate contracts (e.g., confidentiality agreements) for all business units
-Under the supervision of an attorney, review and analyze comments on employment agreements, separation agreements and consulting agreements from outside attorneys and communicate with business units to receive their input on such comments. In addition, make recommendations on whether comments are acceptable based on corporate polices and practices.
-Under the supervision of an attorney, negotiate comments with outside attorneys
-Review consultant agreement requests and analyze to determine appropriateness and legal compliance.
-Willingness to learn and draft various other corporate contracts under supervision of an attorney (for example, nondisclosure and confidentiality agreements, vendor agreements, etc.)
-Update employment agreement spreadsheet on a weekly basis and attend meetings with attorneys and HR executive to discuss.
-Update and maintain active employment agreement spreadsheet on a periodic basis.
-Involvement in issues/projects periodically as requested by employment lawyer.
-Support and assist in department initiatives.
Required Competencies/Skills:
-At least 5 years of related experience at a law firm or in-house legal department and/or other legal background/experience
-Comprehensive understanding of the business and day-to-day operations including corporate policies and ability to handle and internalize periodic policy changes in a dynamic corporate environment
-Experience handling and managing large projects at times
-Excellent time-management, organization and execution skills and ability to track multiple projects and deadlines
-Excellent analytical, verbal and written skills
-Extremely detail oriented
-Someone who demonstrates an active desire to learn and is proactive in taking the lead on assignments and tasks
-Reliable and dedicated to seeing projects through from inception through completion
-Enthusiastic, motivated, friendly, team player that enjoys working with a wide variety of people from various professional backgrounds and who can work effectively both independently and in groups
-Someone who conducts himself or herself in the highest ethical manner
-Knowledge of legal contracts including familiarity with legal concepts
-Proficient in Microsoft Office
-Exhibits highest level of professionalism
-Ability to effectively communicate and interact with senior executives of company and various levels of management
-Ability to handle confidential matters with discretion and judgment
-Sense of humor and interest and/or experience in the music or entertainment industry a plus
Education Required: Bachelors degree and Paralegal certification preferred (from ABA accredited school) or equivalent legal experience.
